Arbitration is nationally and internationally a popular alternative to the regular court, especially in the (international) trading world. Indeed, arbitration has many advantages, such as the specialist knowledge of the arbitrators, shorter processing time, speed of proceedings and confidentiality.
If the parties agree to resolve their dispute through arbitration, this agreement ensures that, in principle, the regular court does not have jurisdiction to rule on the dispute. However, under Dutch law there are a number of exceptions to this main rule, allowing the regular court to intervene in the arbitration proceedings or act against the arbitral award. For example, extraordinary remedies of revocation and reversal are available against a (final) arbitral award in certain cases. A successful appeal to one of these remedies can lead to the full or partial reversal of the arbitral award. This means that the parties are back to square one and thus have to go through the arbitration procedure all over again, with all its (financial) consequences.
A Supreme Court judgment of 30 September 2022 addressed the question when an application for reversal and revocation is possible, and whether if such an application has already been made in arbitration proceedings, it can be resubmitted to the regular court (the court of appeal).
This case concerns a dispute between a main contractor (claimant) and a subcontractor (defendant) over the supply and installation of suspended ceilings for a new construction project. The contract between the parties contained an arbitration clause before the Arbitration Board for the Building Industry (de Raad van Arbitrage in Bouwgeschillen).
The arbitration procedure
The arbitral tribunal in first-instance ruled in an interim award that (i.) the defendant's supplier caused the delay, (ii.) the claimant had appointed this supplier and (iii.) the defendant had done what was necessary to induce supplier to perform in a timely manner. In this arbitral award, the arbitral tribunal held that the defendant was not liable for the delay. Against this, the claimant lodged an interim arbitral appeal. The arbitral tribunal on appeal rejected the claimant's grievances.After it became apparent that the defendant had withheld facts and documents, the claimant requested the arbitral tribunal in first instance to reverse the decisions made in the interim award. By final award, the arbitral tribunal in first instance rejected the request; the arbitral tribunal upheld its award. The claimant appealed these arbitral awards. On appeal, the arbitral tribunal held that "[...] the arbitral tribunal at first instance could not reverse decisions which had not been appealed against in the earlier appeal [against the interim award] or which had been upheld in that earlier appeal". In doing so, the arbitral tribunal considered that "[...] even if it should turn out that [the defendant] had withheld facts and documents, that cannot lead to reconsideration of irrevocable binding final decision". In this case, the arbitral tribunal pointed to the possibility of applying for revocation.
Further proceedings in the regular court; (partial) revocation aside and (partial) reversal
The court of appeal, the court of first instance and the court of appeal again
The claimant applied to the court of appeal for partial revocation of the arbitral awards under 1068 Rv, alternatively partial reversal under section 1065 Rv. The court of appeal rejected the claim for revocation because the requirement set for revocation that the withholding of documents and facts was discovered after the end of the arbitral proceedings was not met. In doing so, the court of appeal labelled the arbitral tribunal's opinion on the possibility of seeking reversal as incorrect.
With regard to the claim for partial reversal of the arbitral award, the court of appeal declined jurisdiction and referred the case to the court of first instance. After this court had also rejected this claim for reversal, the claimant lodged an appeal. There, it argued, inter alia, that the arbitral awards were based on incorrect facts as a result of the defendant's fraud and were therefore contrary to public policy as referred to in Section 1065(1)(e) Rv. The court of appeal also rejected this claim and ruled that arbitral awards based on incorrect facts as a result of fraud do not in themselves affect public policy and therefore do not constitute grounds for reversal.
The Supreme Court
The Supreme Court stated first of all that revocation under Section 1068(1) Rv occurs only in case of 'fraud', which occurs in the case of one of the following (limitative) grounds:
- the award is based in whole or in part on fraud discovered after the award, committed by or with the knowledge of the other party to the arbitral proceedings (sub a); or
- the judgment rests fully or partially on documents which are found to be false after the judgment has been given (subsection b); or
- a party got hold of documents after the award that would have affected the arbitral tribunal's decision and were withheld by the other party's actions (sub c).
There is only room for revocation if the fraud was discovered after the arbitral proceedings. It follows from the purport of Section 1068(1) of the Dutch Code of Civil Procedure (revocation) that what matters is whether the fraud could reasonably still have been raised in the arbitral proceedings. Thus, the Supreme Court ruled – following the court of appeal before – that the arbitral tribunal's position on the possible revocation proceedings under section 1068 Rv was legally incorrect.
If an arbitral award was made under the influence of fraud, this may provide grounds for finding that the award, or the manner in which the award was made, is contrary to public policy (Article 1065(1)(e) Rv). In such cases, the reversal of an arbitral award can be claimed in so-called reversal proceedings. However, it is important to note that if a party discovers fraud during arbitration proceedings, the basic principle is that it must communicate this fraud to the arbitrator(s). Indeed, arbitrators are obliged to investigate the correctness of the appeal, even if the appeal was filed after the interim award was rendered. If the party fails to do so, the alleged fraud can, in principle, no longer be raised in reversal proceedings.
The Supreme Court held that if a party in arbitration proceedings claims that, after an interim award, it got hold of documents that were withheld by the other party's actions and that their content would have affected the arbitral tribunal's decision, it will have to bring these documents into the proceedings. If arbitrators reject the claim of fraud after assessing these documents, reversal cannot be sought on the same grounds after the arbitral proceedings have ended. It is presumed that in those cases, the arbitral decision was not reached under the influence of the withheld documents and on that ground there is no violation of public policy.
Significance of the judgment
The aftermath of this judgment is that it provides a nuance in the far-reaching effect of the extraordinary remedies of revocation and reversal. The Supreme Court put first and foremost that after discovery of fraud in the arbitral proceedings, the party that discovered the fraud is expected to raise the issue in the same arbitral proceedings. If this party fails to do so, the alleged fraud cannot, in principle, be relied upon in court proceedings. Furthermore, the arbitral tribunal has a special task in this regard. After all, the arbitral tribunal is expected to investigate and rule on the alleged fraud. The binding judgment rejecting the plea of fraud precludes the party from bringing revocation and reversal proceedings before the court after the arbitral proceedings have ended on the same grounds.
Upon discovery of fraud, immediate action should be taken. Be well advised in this respect, as an incorrect legal strategy may result in you not (or no longer) being able to invoke the legal remedy of reversal and revocation. In practice, be alert to the nuances introduced.
Scherpe nuances op vernietiging en herroeping wegens bedrog in arbitrage
Arbitrage is nationaal en internationaal een populair alternatief voor de gewone ‘overheidsrechter’, vooral in de (internationale) handelswereld. Arbitrage kent namelijk allerlei voordelen, zoals de specialistische kennis van de arbiters, kortere doorlooptijd, snelheid van de procedure en vertrouwelijkheid.
Indien partijen overeenkomen om hun geschil door middel van arbitrage op te lossen, zorgt deze afspraak er voor dat de gewone rechter in beginsel niet bevoegd is daarover te oordelen. Het Nederlandse recht kent echter een aantal uitzonderingen op deze hoofdregel, zodat de overheidsrechter toch kan ingrijpen in de arbitrageprocedure of kan optreden tegen het arbitraal vonnis. Zo staan tegen een arbitraal eindvonnis in bepaalde gevallen buitengewone rechtsmiddelen van vernietiging en van herroeping open. Een succesvol beroep op één van deze rechtsmiddelen kan leiden tot gehele of gedeeltelijke vernietiging van het arbitraal vonnis. Dit betekent dat partijen terug bij af zijn en dus de arbitrageprocedure opnieuw moeten doorlopen, met alle (financiële) gevolgen van dien.
In een arrest van 30 september 2022 van de Hoge Raad kwam de vraag aan de orde, wanneer een verzoek tot vernietiging en herroeping mogelijk is en of als zo’n verzoek reeds in een arbitrageprocedure is gedaan, opnieuw aan de gewone rechter (het gerechtshof) kan worden voorgelegd.
Deze zaak betreft een geschil tussen hoofdaannemer (eiseres) en onderaannemer (verweerster) over de levering en montage van systeemplafonds voor een nieuwbouwproject. De overeenkomst tussen partijen bevatte een arbitragebeding voor de Raad van Arbitrage in Bouwgeschillen (RvA).
De arbitrageprocedure
De RvA in eerste aanleg stelde bij tussenvonnis vast dat (i.) de leverancier van verweerster veroorzaakte de vertraging, (ii.) eiseres deze leverancier had aangewezen en (iii.) verweerster het nodige gedaan had om leverancier tot tijdige nakoming te bewegen. Bij arbitraal tussenvonnis oordeelde het scheidsgerecht in eerste aanleg dat verweerster niet aansprakelijk was voor de vertraging. Hiertegen stelde eiseres tussentijds arbitraal hoger beroep in. Het scheidsgerecht in hoger beroep wees de grieven van eiseres af.
Nadat bleek dat verweerster feiten en stukken had achtergehouden, verzocht eiseres het scheidsgerecht in eerste aanleg om terug te komen op de beslissingen uit het tussenvonnis. Bij eindvonnis wees het scheidsgerecht in eerste aanleg het verzoek af; het scheidsgerecht bleef bij zijn oordeel. Eiseres kwam in hoger beroep van deze arbitrale vonnissen. In hoger beroep oordeelde het scheidsgerecht dat “[…] het scheidsgerecht in eerste aanleg niet kon terugkomen van beslissingen waartegen in het eerdere hoger beroep [tegen het arbitraal tussenvonnis] niet was gegriefd of die in dat eerdere hoger beroep waren bekrachtigd”. Daarbij overwoog het scheidsgerecht dat “[…] ook als mocht blijken dat [verweerster] feiten en stukken heeft achtergehouden, dat niet tot heroverweging van onherroepelijke bindende eindbeslissing kan leiden”. Het scheidsgerecht wees in dit geval op de mogelijkheid om een verzoek tot herroeping in te dienen.
Het verdere procesverloop bij de overheidsrechter; (gedeeltelijk) herroeping en (gedeeltelijke) vernietiging
Het gerechtshof, de rechtbank en weer het gerechtshof
Eiseres vorderde bij het gerechtshof gedeeltelijke herroeping van de arbitrale vonnissen op grond van 1068 Rv, subsidiair gedeeltelijke vernietiging op grond van artikel 1065 Rv. Het gerechtshof wees de vordering tot herroeping af omdat niet is voldaan aan het voor herroeping gestelde vereiste dat het achterhouden van stukken en feiten na afloop van het arbitraal geding is ontdekt. Daarmee bestempelde het gerechtshof het oordeel van het scheidsgerecht over de mogelijkheid om herroeping te vragen, als onjuist.
Met betrekking tot de vordering tot gedeeltelijke vernietiging van het arbitraal vonnis verklaarde het gerechtshof zich onbevoegd en verwees het de zaak naar de rechtbank. Nadat de rechtbank deze vordering tot vernietiging ook afwees, stelde eiseres hoger beroep in. Daar voerde zij onder meer aan dat de arbitrale vonnissen als gevolg van bedrog van verweerster op onjuiste feiten waren gebaseerd en daarom in strijd waren met de openbare orde als bedoeld in artikel 1065 lid 1 sub e Rv. Het gerechtshof wees ook deze vordering af en overwoog dat arbitrale vonnissen die zijn gebaseerd op onjuiste feiten als gevolg van bedrog op zichzelf de openbare orde niet raken en daarom geen grond voor vernietiging vormen.
De Hoge Raad
De Hoge Raad stelde voorop dat herroeping op grond van artikel 1068 lid 1 Rv slechts plaatsvindt ingeval van ‘bedrog’, waarvan sprake is bij één van de volgende (limitatieve) gronden:
- het vonnis berust geheel of gedeeltelijk op na de uitspraak ontdekt bedrog, door of met medeweten van de wederpartij in de arbitrale procedure gepleegd (sub a); of
- het vonnis berust geheel of gedeeltelijk op stukken die na de uitspraak vals blijken te zijn (sub b); of
- een partij heeft na de uitspraak stukken die op de beslissing van het scheidsgerecht van invloed zouden zijn geweest en door toedoen van de wederpartij zijn achtergehouden, in handen gekregen (sub c).
Voor herroeping is alleen plaats als het bedrog na de arbitrale procedure is ontdekt. Uit de strekking van artikel 1068 lid 1 Rv (herroeping) volgt dat het erom gaat of het bedrog redelijkerwijs nog in de arbitrale procedure aan de orde had kunnen worden gesteld. Zodoende oordeelde de Hoge Raad – in navolging van het gerechtshof daarvoor – dat het standpunt van het scheidsgerecht over de mogelijke herroepingsprocedure op grond van artikel 1068 Rv juridisch onjuist is.
Indien een arbitraal vonnis onder invloed van bedrog tot stand is gekomen, kan dat grond leveren voor het oordeel dat het vonnis, of de wijze waarop het vonnis tot stand kwam, in strijd is met de openbare orde (artikel 1065 lid 1 sub e Rv). In dergelijke gevallen kan de vernietiging van een arbitraal vonnis in een zogenoemde vernietigingsprocedure worden gevorderd. Wel is van belang dat indien een partij tijdens een arbitrageprocedure bedrog ontdekt, als uitgangspunt geldt dat zij dit bedrog moet voorleggen aan de arbiter(s). Arbiters zijn immers gehouden de juistheid van het beroep te onderzoeken, zelfs als het beroep is ingesteld na het gewezen tussenvonnis. Laat de partij dit na, dan kan het gestelde bedrog in beginsel niet meer in een vernietigingsprocedure worden aangevoerd.
De Hoge Raad oordeelde dat indien een partij in een arbitrageprocedure stelt dat zij na een tussenvonnis stukken in handen kreeg die door toedoen van de wederpartij zijn achtergehouden en dat de inhoud daarvan op de beslissing van het scheidsgerecht van invloed zou zijn geweest, zal zij deze stukken in het geding moeten brengen. Als arbiters het beroep op bedrog na beoordeling van deze stukken verwerpen, kan niet na beëindiging van de arbitrale procedure op dezelfde grond vernietiging worden gevorderd. Verondersteld wordt dat in die gevallen de arbitrale beslissing niet onder invloed van het achtergehouden stukken tot stand is gekomen en dat op die grond geen sprake is van strijd met de openbare orde.
Betekenis van het arrest
De afdronk van dit arrest is dat het een nuancering biedt van het vergaande effect van de buitengewone rechtsmiddelen van herroeping en vernietiging. De Hoge Raad stelt voorop dat na ontdekking van bedrog in het arbitraal geding de belanghebbende partij geacht wordt het bedrog nog in dezelfde arbitrageprocedure aan de orde te stellen. Laat deze partij dit na, dan kan het gestelde bedrog in beginsel niet bij het gerechtshof worden ingeroepen. Verder heeft het scheidsgerecht in dit verband een bijzondere taak. Van het scheidsgerecht wordt immers verwacht dat het onderzoekt en oordeelt over het gestelde bedrog. Het bindende oordeel waarbij het beroep op bedrog wordt verworpen, staat eraan in de weg dat de partij na beëindiging van het arbitraal geding op dezelfde gronden een herroepingsprocedure en vernietigingsprocedure bij het gerechtshof instelt.
Bij ontdekking van bedrog moet onmiddellijk actie worden genomen. Laat u daarbij goed adviseren, want een onjuiste juridische strategie kan ertoe leiden dat u het rechtsmiddel van vernietiging en herroeping in de praktijk niet (meer) kunt inroepen. Wees in de praktijk alert op de aangebrachte nuances.
