In January 2020, the Netherlands introduced a ground-breaking piece of legislation known as the Wet afwikkeling massaschade in collectieve actie (WAMCA), which translates to the Settlement of mass damages in collective action Act. This act represents a significant evolution in Dutch legal practice, providing a more efficient and effective framework for handling mass damage claims through collective action.

Introduction

Over the last four years, over 80 proceedings were commenced under the WAMCA. A large number of interim and final judgments were rendered, both in summary proceedings and in proceedings on the merits, which offer a great insight into the procedural aspects of a collective action. For that reason, Taylor Wessing’s Disputes & Investigations experts Mark Goorts and Tim Mimpen decided to analyse all those judgments and to author a book on the Procesrechtelijke aspecten van de Wet afwikkeling massaschade in collectieve actie (WAMCA), which translates to ‘Procedural aspects of the Settlement of mass damages in collective action Act’. The book was published with Uitgeverij Paris in May of this year.

The genesis of the WAMCA

The WAMCA was enacted to address the complexities and inefficiencies that arose under its predecessors, the Collective Action Act (WCA) and the Collective Settlement Act (WCAM). Under the WCA, it was not possible to file for damages and there was no procedural framework in place for collective actions. The WAMCA aimed to make the legal resolution of mass harm cases less time-consuming and costly, and to prevent protracted and fragmented litigation as much as possible.

Key features of the WAMCA

The WAMCA allows a collective claim to not only seek a declaratory judgment of liability but also to collectively claim damages. Here are some of the key features:

• scope and applicability: the WAMCA applies to events or a series of events that occurred on or after November 15, 2016, and is designed to handle a variety of mass damage scenarios, including environmental disasters, financial mismanagement, privacy breaches, and consumer rights violations;
• exclusive representative: under the WAMCA, the Court appoints one exclusive representative organization, to litigate on behalf of all affected parties. This organization must meet certain criteria related to governance, transparency, and the ability to adequately represent the interests of the claimants;
• opt-out and opt-in system: for domestic claimants, a judgment would in principle apply to all supporters, unless they opt-out. However, for international claimants, an opt-in system is used, which requires active consent;
• promoting settlements: the act encourages parties to settle by allowing the court to facilitate a settlement before and during the proceedings. If the parties reach a settlement, the court can declare it binding for all affected individuals unless they opt out.

Navigeren door het landschap van de collectieve actie: een overzicht van de WAMCA

In januari 2020 introduceerde de Nederlandse wetgever een baanbrekend stuk wetgeving, namelijk de Wet afwikkeling massaschade in collectieve actie (WAMCA). Deze wet betekende een significante stap voor de juridische praktijk en biedt een efficiënter en effectiever kader voor de afhandeling van massaschadeclaims via collectieve acties.

In de afgelopen vier jaar zijn er meer dan 80 procedures gestart onder de WAMCA. Er zijn veel tussen- en eindvonnissen gewezen, zowel in kort geding- als in bodemprocedures, die veel inzicht bieden in de procedurele aspecten van een collectieve actie. Om die reden hebben Taylor Wessing’s Disputes & Investigations experts Mark Goorts en Tim Mimpen besloten om al deze uitspraken te analyseren en vervolgens een boek te schrijven over en met als titel de ‘Procesrechtelijke aspecten van de Wet afwikkeling massaschade in collectieve actie (WAMCA)’. Het boek is in mei van dit jaar gepubliceerd door Uitgeverij Paris.

Het ontstaan van de WAMCA

De WAMCA werd ingevoerd om de complexiteiten en inefficiënties aan te pakken die ontstonden onder zijn voorgangers, de Wet Collectieve Actie (WCA) en de Wet Collectieve Afwikkeling Massaschade (WCAM). Onder de WCA was het niet mogelijk om schadevergoeding te eisen en was er geen procedureel kader voor collectieve acties. De WAMCA had tot doel de juridische afwikkeling van massaschadezaken minder tijdrovend en kostbaar te maken, en zo veel mogelijk langdurige en gefragmenteerde procedures te voorkomen.

Belangrijkste kenmerken van de WAMCA

De WAMCA maakt het mogelijk om niet alleen een verklaring voor recht te vorderen met betrekking tot de aansprakelijkheid, maar ook om direct schadevergoeding te vorderen. Hieronder staan enkele van de belangrijkste kenmerken:

• reikwijdte en toepasselijkheid: de WAMCA is van toepassing op gebeurtenissen of een reeks gebeurtenissen die plaatsvonden op of na 15 november 2016 en is bedoeld om een verscheidenheid aan zaken te behandelen, waaronder milieurampen, financieel wanbeheer, privacy-schendingen en inbreuken op consumentenrechten;
• exclusieve belangenbehartiger: onder de WAMCA wijst de rechtbank één vertegenwoordigende organisatie aan als exclusieve belangenbehartiger voor alle benadeelde partijen. Deze organisatie moet voldoen aan bepaalde criteria met betrekking tot governance, transparantie en het vermogen om de belangen van de eisers adequaat te vertegenwoordigen;
• opt-out en opt-in systeem: voor Nederlandse benadeelden is een vonnis in een collectieve actie in principe van toepassing, tenzij ze zich afmelden. Voor benadeelden die zijn gevestigd buiten Nederland wordt echter een opt-in systeem gebruikt, dat actieve toestemming vereist;
• het bevorderen van schikkingen: de WAMCA moedigt partijen aan om te schikken en maakt schikkingsonderhandelingen zowel een vereiste om te mogen procederen als een fase in de collectieve actie. Als de partijen een schikking bereiken, kan de rechtbank deze verbindend verklaren voor alle getroffen individuen, tenzij zij zich afmelden.

Implicaties en impact

De introductie van de WAMCA zorgde voor een aanzienlijke stroomlijning van een collectieve actie-procedure in Nederland. Door een gestructureerd kader voor collectieve acties te bieden, is de positie van individuele benadeelden en claimorganisaties aanzienlijk verbeterd. Ook voor (rechts)personen die anders misschien niet de middelen zouden hebben om individuele rechtszaken te starten. Daarnaast gaat van de WAMCA een afschrikwekkende werking uit tegen activiteiten die kunnen leiden tot massaschade vanwege de verhoogde financiële en reputatierisico's die gepaard gaan met collectieve actie.

Voor bedrijven onderstreept de WAMCA het belang van compliance en risk management, aangezien het potentieel om een collectieve actie onder deze wet het hoofd te bieden aanzienlijke aansprakelijkheden kan inhouden.
