The effect of the Wwft on banking relationships

On 25 July 2018 the amended Money Laundering and Terrorist Financing (Prevention) Act (Wwft) and the Wwft Implementation Decree 2018 (Implementation Decree) entered into force. These laws and regulations impose a number of important duties on (among others) banks. Not only do banks have to report unusual transactions, they are also required to conduct customer due diligence and carry out checks on their customers and the transactions performed. This applies all the more if the client's activities involve a higher risk of money laundering. In recent years, this has led to a sharp increase in the number of employees at banks in the area of CDD/ KYC. 

The Financieel Dagblad shows that the subject of money laundering and the fight against it is alive and well. What role does the fight against money laundering play in the establishment and termination of banking relationships and what dilemma the banks sometimes find themselves in as a result?

General cancellation authority of the bank

The bank can terminate an existing relationship on the basis of a contractual power. This power lies in the General Banking Conditions (GBC). Article 35 of the GBC stipulates that both the client and the bank may terminate the existing relationship. Termination of the existing relationship is governed by the contractual duty of care of the terminating party. This contractual duty of care is laid down in article 2 of the GBC. 

The contractual duty of care means that the bank must take the interests of the client into account (arising from Article 2 of the GBC). After all, banks have a special position in society. When the court assesses the validity of a notice of termination given by the bank, it uses the standard of reasonableness and fairness from Section 6:248 (2) of the DCC. Subsequently, it will test whether the duty of care and the interests of the client based on article 2 GBC have been sufficiently taken into account. Case law shows that the following factors, among others, are taken into consideration when weighing the interests for the termination of a relationship: 

• is there a valid reason
• notice period and duration
• payment behaviour 
•  (the possibility of) damage

Legal framework for termination of banking relationship within the framework of the Wwft

Termination of the banking relationship will be an issue if the bank considers the risks of maintaining the relationship unacceptable in light of the Wwft. After all, the bank has an obligation to investigate and monitor. Matters that it must investigate are for instance: the identity of the client and the ultimate beneficiary, the origin of the assets and the continuous monitoring of the business relationship and the transactions carried out during the term of this relationship.

This investigation (CDD/ KYC investigation) may reveal signals that lead to the conclusion that the bank runs unacceptable risks. In its risk analysis the bank includes risk factors for money laundering, such as activities in real estate, in Russia or Eastern Europe, or the presence of large amounts of cash. In addition, the client may not sufficiently enable the bank to comply with its investigation and monitoring obligations. 

The latter reason may result in the bank having a legitimate interest in terminating the relationship. After all, the bank must comply with its obligations in order to be able to guarantee the integrity of its services regarding bank accounts. This also presents a dilemma to the bank; on the one hand it is obliged to perform important tasks under the Wwft, but on the other hand it may not go too far in performing its duties. A client may quickly get the impression that it is distrusted and is subjected to too far-reaching an investigation. 

Assessment of due diligence

Given the far-reaching consequences of termination of a banking relationship, such a decision should, as mentioned, be taken with due care. Termination of the banking relationship means that a company no longer has access to the bank account provided by the bank. The availability of a payment account is an important condition for participating in society. For this reason, the bank must exercise its powers with due care. 

In the case of activities that are sensitive to money laundering or give rise to suspicions of money laundering, the court that is asked to assess termination of the banking relationship will be more lenient towards the bank. Activities that are sensitive to money laundering are, for example, trading and intermediating in transactions in bitcoins, smart shops or businesses that frequently perform cash transactions (such as the car trade). However, if the decision to terminate the banking relationship is challenged in court, the bank will have to show that it has done its homework properly. The mere fact that there are risky activities is not enough, and even if the bank's client does not answer questions to the bank's satisfaction, the bank will have to make this known and ask for a further explanation. 

In doing so, the duty of care incumbent upon the bank as laid down in the GBC (cf. Article 2(1) GBC) and the law should be taken into consideration. After all, the relationship between the bank and the client is also governed by the principles of reasonableness and fairness. The importance of this additional regulation on the (statutory or contractual) power to terminate the banking relationship is particularly relevant if the client cannot turn to another bank after the termination and is therefore deprived of access to bank services. Then the court can still decide that the bank should grant the client access to a current account. 

Obligation to enter into a banking relationship

Is the opposite possible where a client, with whom the banking relationship has been terminated, forces a bank to enter into a banking relationship? Yes, this is possible. 

The principle of freedom of contract means that a party is free to decide with whom it enters into a contract. This freedom is a fundamental and important right, also for banks. However, this freedom is not unlimited. As discussed, banks have a special duty of care. This duty of care arises from what is expected in society according to unwritten law. 

The rationale behind the obligation to enter into a banking relationship lies in the fact that it is virtually impossible to participate in society and run a business if a business does not have access to a payment account. Case law therefore (implicitly) attributes a reflex effect to the right that consumers have to a basic payment account. In short, reflex effect means that legal persons have the same rights as natural persons in this respect and are therefore also entitled to a basic payment account. 

Example 
An example from our practice: An entrepreneur runs a business. He receives a large part of his turnover in cash. This raises questions from the bank and they ask the entrepreneur to change his policy. In this case the entrepreneur does not have to prohibit payments in cash. After all, cash is legal tender. He may discourage paying in cash by offering a discount for non-cash payments, for example. The entrepreneur must make a policy in this respect and communicate it to his customers. In this way, the entrepreneur can demonstrate that he has made efforts to discourage cash payments and the bank cannot terminate the relationship just like that. If the bank considers this to be insufficient, the entrepreneur can also offer the bank access to the accounts and the rest of the business, whether or not via the entrepreneur's own auditor or an auditor appointed by the bank. If there is nothing to hide, then a proactive and open attitude is a good way to reassure the bank or, if the bank does not budge, to successfully take the bank to court over its actions. In the case of this example, after receiving the summons in summary proceedings, the bank gave in and left the entrepreneur alone. So no court had to be involved.

The basic principle is that a bank is authorised to terminate a credit agreement, but the legality of such termination must be judged on the basis of the agreement and the principles of reasonableness and fairness. 

The same legal framework applies to termination of the banking relationship between the bank and its client on the basis of the Wwft. The starting point is that termination of a banking relationship is possible, but that in view of the far-reaching consequences such a decision must be made with due care. 

Finally, a bank can be forced by a client, with whom the banking relationship has been terminated, to enter into a banking relationship again. Although the bank is, in principle, free to decide with whom it will enter into an agreement, this freedom is not unlimited. In view of the duty of care incumbent on the bank, it may not refuse to enter into a new banking relationship under certain circumstances.

Juridisch kader beëindiging bancaire relatie in het kader van de Wwft

Beëindiging van de bancaire relatie zal aan de orde komen als de bank de risico’s van instandhouding daarvan in het licht van de Wwft onacceptabel acht. De bank heeft immers een onderzoeks- en monitoringsplicht. Zaken die zij dient te onderzoeken, zijn bijvoorbeeld: de identiteit van de cliënt en uiteindelijk belanghebbende, de herkomst van vermogen en de voortdurende controle op de zakelijke relatie en de tijdens de duur van deze relatie verrichte transacties.

Het kan voorkomen dat uit dit onderzoek (CDD/ KYC onderzoek) signalen naar voren komen die leiden tot de conclusie dat de bank onaanvaardbare risico’s loopt. In haar risicoanalyse betrekt de bank risicofactoren voor witwassen, zoals activiteiten in het vastgoed, in Rusland of Oost-Europa of de aanwezigheid van veel cash geld. Daarnaast kan het voorkomen dat de klant de bank onvoldoende in staat stelt om haar onderzoeks- en monitoringsverplichtingen na te leven. 

Deze laatste reden kan ertoe leiden dat de bank een gerechtvaardigd belang heeft bij beëindiging van de relatie. De bank moet haar verplichtingen immers wel naleven om zo de integriteit van haar dienstverlening ten aanzien van bankrekeningen te kunnen waarborgen. Dit laatste maakt dat de bank ook wel in een spagaat komt te verkeren; enerzijds is zij gehouden tot uitvoering van belangrijke taken onder de Wwft, maar anderzijds mag zij daarin niet te ver doorslaan. Een klant kan al snel de indruk krijgen dat zij wordt gewantrouwd en wordt onderworpen aan een te vergaand onderzoek. 

Beoordeling van de zorgvuldigheid

Gezien de ingrijpende gevolgen van een beëindiging van een bancaire relatie dient een dergelijke beslissing zoals gezegd met de vereiste zorgvuldigheid te worden genomen. Beëindiging van de bancaire relatie leidt er namelijk toe dat een onderneming niet langer kan beschikken over de door de bank ter beschikking gestelde bankrekening. Het kunnen beschikken over een betaalrekening vormt een belangrijke voorwaarde voor het deelnemen aan het maatschappelijk verkeer. Dit is de reden dat de bank bij de uitoefening van haar bevoegdheid voldoende zorgvuldigheid in acht dient te nemen. 

Bij activiteiten die witwasgevoelig zijn of aanleiding geven tot vermoeden van witwassen, zal de bank sneller een streepje voor hebben bij de rechtbank die de beëindiging van de bancaire relatie moet beoordelen. Activiteiten die witwasgevoelig zijn, zijn bijvoorbeeld de handel en bemiddeling bij transacties in bitcoins, smartshops of ondernemingen waarin veelvuldig wordt gewerkt met contanten (zoals bijvoorbeeld de autohandel). Echter, de bank zal, als de beslissing tot beëindiging van de bancaire relatie bij de rechtbank ter discussie staat, wel moeten laten zien dat zij haar huiswerk goed heeft gemaakt. Het enkele feit dat sprake is van risicovolle activiteiten is niet voldoende en ook als de klant van de bank vragen niet naar tevredenheid van de bank beantwoordt, zal de bank dat kenbaar moeten maken en moeten vragen om een nadere toelichting. 

Daarbij moet (zoals gezegd) ook rekening gehouden worden met de op de bank rustende zorgplicht als geformuleerd in de AVB (zie art. 2 lid 1 ABV) en de wet. De relatie tussen de bank en de klant wordt namelijk ook beheerst door de redelijkheid en billijkheid. Het belang van deze extra regelgeving op de (wettelijke of contractuele) bevoegdheid tot beëindiging van de bancaire relatie is met name aan de orde, als de klant na de opzegging ook niet terecht kan bij een andere bank en daardoor verstoken raakt van toegang tot bankverkeer. Dan kan de rechtbank alsnog besluiten dat de bank de klant toegang tot een betaalrekening dient te verlenen. 

Verplichting tot het aangaan van een bancaire relatie

Is de spiegelbeeldige situatie waarin een klant, met wie de bancaire relatie is opgezegd, een bank dwingt een bankrelatie aan te gaan, mogelijk? Ja, dat kan. 

Het beginsel van contractvrijheid brengt mee dat een partij vrij is te beslissen met wie die partij een overeenkomst aangaat. Die vrijheid is een fundamenteel en zwaarwegend recht, ook voor banken. Echter, die vrijheid is niet onbegrensd. Banken hebben, zoals besproken, een bijzondere zorgplicht. Die zorgplicht vloeit voort uit hetgeen volgens ongeschreven recht in het maatschappelijk verkeer betaamt. 

De ratio achter de verplichting tot het aangaan van een bancaire relatie is gelegen in de omstandigheid dat het vrijwel onmogelijk is om deel te nemen aan het maatschappelijk verkeer en een bedrijf te exploiteren als je niet kunt beschikken over een betaalrekening. In de jurisprudentie wordt dan ook (impliciet) reflexwerking toegekend aan het recht dat consumenten hebben op een basisbetaalrekening. Reflexwerking betekent, kort gezegd, dat rechtspersonen op dit punt gelijke rechten hebben als natuurlijke personen en dus ook recht hebben op een basisbetaalrekening. 

Voorbeeld 
Een voorbeeld uit onze praktijk: Een ondernemer drijft een onderneming. Een groot deel van zijn omzet ontvangt hij in contanten. Dit roept vragen op bij de bank en zij vragen de ondernemer om zijn beleid aan te passen. De ondernemer hoeft in een dergelijk geval het betalen in contanten niet te verbieden. Contant geld is namelijk een wettig betaalmiddel. Hij kan het betalen in contanten wel ontmoedigen door bijvoorbeeld korting aan te bieden bij girale betalingen. De ondernemer dient hier beleid voor te maken en daarover ook met diens klanten te communiceren. Zo kan de ondernemer aantonen dat hij zich heeft ingezet om betalingen in contanten te ontmoedigen en kan de bank de relatie niet zomaar opzeggen. Mocht de bank dat niet voldoende vinden, dan kan de ondernemer ook de bank inzage in de boekhouding en het overige van de onderneming aanbieden, al dan niet via de huisaccountant of een door de bank aan te wijzen accountant. Als er niets te verbergen is, dan is een proactieve en open houding een probaat middel om de bank gerust te stellen of om de bank, mocht deze niet inbinden, met succes in rechte aan te spreken op haar handelen. In het geval van dit voorbeeld leidde het daartoe dat de bank na ontvangst van de dagvaarding in kort geding inbond en de ondernemer verder met rust liet. Daar kwam dus geen rechter aan te pas.

In beginsel geldt als uitgangspunt dat een bank bevoegd is een kredietovereenkomst op te zeggen, maar dat de rechtsgeldigheid van die opzegging beoordeeld moet worden aan de hand van de overeenkomst en de maatstaf van de redelijkheid en billijkheid. 

Op de beëindiging van de bancaire relatie tussen de bank en haar klant op basis van de Wwft is eenzelfde juridisch kader van toepassing. Het uitgangspunt is dat beëindiging van een bancaire relatie mogelijk is, maar dat gezien de ingrijpende gevolgen daarvan een dergelijke beslissing met de vereiste zorgvuldigheid moet worden genomen. 

Tot slot kan een bank door een klant, met wie de bancaire relatie is opgezegd, worden gedwongen opnieuw een bankrelatie aan te gaan. Hoewel de bank in beginsel vrij is te beslissen met wie zij een overeenkomst aangaat, is die vrijheid niet onbegrensd. Gezien de op de bank rustende zorgplicht kan zij onder omstandigheden het aangaan van een nieuwe bancaire relatie niet weigeren.
