Rudi Hasenberg

Rudi is a lawyer and tax advisor and a member of the Tax Practice Group.
He represents and advises domestic and foreign companies in various industries on, inter alia, plain vanilla and mezzanine financing, public and private M&A transactions, reorganisations and restructurings, in each case taking into account the tax optimisation potential, as well as on issues of national and international corporate tax law in the context of ongoing taxation and tax audits.

Clients value his comprehensive expertise in the tax structuring of transaction structures as well as his competence in conducting negotiations.

A Taylor Wessing team led by Frankfurt-based partners Lars-Gerrit Lüßmann and Ulrich Reers advised Hauck & Aufhäuser Investment Banking and Polish universal bank mBank in their role as exchange trustee and settlement agent on the voluntary public takeover/exchange offer by Frankfurt-listed Vita 34 AG, Leipzig, to the shareholders of Warsaw-listed stem cell bank Polski Bank Komórek Macierzystych S.A, Warsaw (PBKM). The transaction is the first cross-border exchange offer for a Polish listed company to date.

Taylor Wessing advises Encavis AG on a sustainability-linked EUR 125,000,000 syndicated facility

The revolving credit facility contains ratings-based sustainability criteria, has a term of up to five years and was arranged by Encavis and Commerzbank. The majority of the facilities are available on a revolving basis for the purchase of projects and thus offers Encavis the possibility to spontaneously and easily broaden the portfolio of the group's own projects. In addition, a traditional working capital line with the possibility of establishing ancillary facilities is included.
