Taylor Wessing, led by Munich-based partner Dr Peter Hellich, provided comprehensive legal advice to Düsseldorf-based Saint-Gobain Weber GmbH on a complex carve-out involving the sale and transfer of its dry mortar and facade business at eight production sites throughout Germany to its joint venture company Franken Maxit Mauermörtel GmbH & Co. KG, operated with Johann Bergmann GmbH & Co. KG.
With the transfer of the dry mortar and facade division, Franken Maxit Group will become one of the largest dry mortar manufacturers in Germany and Europe. The company, which has previously been active mainly in southern and eastern Germany, will in future employ over 1,200 people at 17 locations in Germany and the Czech Republic, around 400 of whom will come from Saint-Gobain Weber GmbH.
With this transaction, Saint-Gobain intends to focus its range of construction chemicals on technical applications and speciality products for building protection, tile and flooring systems, and infrastructure.
Saint-Gobain Weber GmbH is a subsidiary of the French Compagnie de Saint-Gobain, which generated sales of EUR 46.6 billion in 2024 and is represented in 80 countries with more than 161,000 employees.
