Led by Munich-based partners Dr Peter Hellich and Dr Oliver Rothley, Taylor Wessing provided comprehensive legal advice to Mafin Capital AG and Geraer Batterie-Dienst GmbH ("GBD") on the sale of part of their shareholding in the Greek Sunlight Group, a leading global manufacturer of lead and lithium-ion batteries and related charging systems, as well as on the simultaneous acquisition of shares in the listed Voltabox AG ("VBX"). Sunlight subsidiary Triathlon Holding GmbH sold its stake of around 48% in VBX to GBD, Liechtenstein-based JIAOGULAN Holding AG and Deutsche FAS Beratung und Vermögensverwaltung GmbH, which was accompanied by a strategic reorganisation of VBX. VBX is a provider of electronics and electromobility solutions listed on the regulated market (Prime Standard) of Deutsche Börse AG in Frankfurt am Main. As part of the transaction, GBD also acquired all shares in the Sunlight investment IBR Solutions GmbH. VBX acquired 99% of all shares in the other Sunlight investment EKM Elektronik GmbH ("EKM"). EKM is an electronics specialist and solution provider for industrial and consumer applications in the fields of medical and battery technology, energy storage, racing and power electronics. Since its foundation in 2000, the company based in Zwönitz in Saxony, Germany, has became one of the leading EMS service providers (Electronics Manufacturing Services) in Germany.
A separately agreed component of the transaction is the pending sale of VBX's "Voltamobil" division to Triathlon Holding GmbH. VBX has bundled its activities relating to high-voltage battery systems in this division, focussing on development, project management, sales and service.
These strategic transactions are intended to create the basis for VBX to realise its planned growth strategy.
All individual transactions are summarised under a framework agreement.
