Under the international lead of Munich partners Dr Peter Hellich and Dr Philip Cavaillès, Taylor Wessing advised the Giesecke+Devrient Group ("G+D Group") on the international reorganization of the Mobile Security division into two independent business units ePayments (EP) and Mobile Security (MS) by carving out the business with so-called Trusted Connected Devices (e.g. SIM cards, eSIM, iSIM) and on the corporate structuring and implementation.
The mandate included reorganization and corporate law measures (spin-offs, hive-downs, asset and share deals, capital measures and share contributions) in 16 jurisdictions on six continents.
Taylor Wessing managed its own international offices and external partner law firms in close coordination with the G+D Group's legal department. G+D Group, which specializes in security technologies in the areas of currency technology, financial platforms and digital security, operates worldwide and is setting the strategic course for the future with this reorganization, in particular for ePayments (EP) and Mobile Security (MS). The reorganization will allow both divisions to concentrate on the future development of their core competencies.
The project team consisted of several hundred participants from the legal, tax, finance, operations, IT, sales and other executive departments.
