A team of Taylor Wessing has advised the materials handling company KOCH Solutions on its acquisition of a material handling technology business from the Danish company FLSmidth. The transaction was lead managed by Berlin partner and specialist for employment law Nico Jänicke.
FLSmidth and KOCH Solutions have both signed the Asset Purchase & Transfer Agreement for the material handling technology.
The transaction is expected to be completed in the third quarter of 2023, subject to customary regulatory approvals from relevant authorities. In addition to the know-how, order backlog and production facilities, the acquisition of the business unit by KOCH Solutions also includes the takeover of the associated employees, including a number of FLSmidth employees in Germany and Australia.
KOCH Solutions is a European materials handling specialist with its own manufacturing, assembly and loading facilities for fully assembled machines. Koch Solutions is part of the Jiangsu Rainbow Heavy Industries Group based in Nantong, China.
FLSmidth is a Danish company headquartered in Copenhagen and one of the leading suppliers to the mining and cement industries with operations in more than 50 countries. In addition to the manufacture of individual products and complete plants, the portfolio of services also includes maintenance and support services as well as the operation of finished plants.
