Under the lead of partner Stephan Heinemann, the international law firm Taylor Wessing advised the shareholders of MTB Marienthaler Baustoffhandels GmbH (MTB GmbH) on the takeover by Kassel based Raiffeisen Waren GmbH. The transaction, which took place as a share deal, was notarized on July 14, 2022. Both parties have agreed not to disclose the purchase price.
MTB Marienthaler Baustoffhandels GmbH, until recently a subsidiary of the Mahler Group, was founded in Zwickau in 1990 and operates building materials trading and DIY stores for end customers on its own real estate. With the sale of MTB GmbH, Mahler Holding is now successfully completing a structured process for the sale of the entire Mahler group of companies, in the context of which Taylor Wessing had already advised Mahler Holding on the sale of the Mahler group of companies to Building Materials Europe / Bauking last year.
Raiffeisen Waren GmbH is a wholesale company for products and services from the agricultural sector. These include seeds, cereals, animal feed, livestock, fertilizers and pesticides, agricultural technology and the operation of Raiffeisen markets. The company also includes the non-agricultural business areas of building materials trading, as well as trading in the energy sources heating oil, coal, fuels and its own network of service stations.
