Sally Robertson

Sally is a senior associate in the Tax & Incentives group, providing advice on a wide range of matters relating to corporate tax, banking & finance tax, employment-related taxation and stamp taxes in the UK.

She has significant experience in assisting with the tax aspects of a range of transactions, including general corporate transactions, M&A and joint ventures, equity capital markets, funds (including private equity), venture capital and cross-border restructuring.

She acts for a broad range of clients including listed and unlisted companies, public sector organisations and UK and non-UK persons and her work spans many sectors, with particular focus on the technology, media and communications, and banking and finance sectors.

Advising a Dutch listed group company on the tax aspects of a financial restructuring	Advising a Dutch listed group company on the tax aspects of a financial restructuring in relation to its UK subsidiary, including share for share exchange stamp duty implications and transfers of debt and equity tax considerations.
Funds (including private equity) taxation	Advising a UK-based private equity firm in relation to the disposal of its majority stake (and partial reinvestment) in a UK-wide group of veterinary practices as part of a positive equity and debt refinancing backed by a group of fund managers, providing strategic tax advice regarding the disposal and reinvestment and providing transactional support.

Advising a large British baking firm	In relation to investing in young, innovative start-ups and bringing that joint venture to life, including consideration of the most appropriate corporate joint venture vehicle (VC funds formation) for the efficient repatriation of income and gains, how the structure worked with current investors (employee and management participation) and the implementation of business models.
Providing transactional support on the tax aspects of a £126,600,000 rights issue	Providing transactional support on the tax aspects of a £126,600,000 rights issue by a FTSE 250-listed events organiser including a review of the tax provisions of the underwriting agreement and prospectus.
Corporate tax/M&A tax structuring/taxation on transactions	Advising a multinational media and digital marketing communications company in relation to its acquisitions, including resolving legacy shareholder issues, advising on the tax impact of structuring the consideration, cross-border withholding tax issues, disparate pricing arrangements, undertaking share incentives due diligence and providing corporate transactional support.
