Taylor Wessing has advised Mimo Capital AG, a Liechtenstein based company which specializes in tokenization of financial instruments such as sovereign and corporate bonds, on a successful launch of a token issuance programme and ancillary transactions thereunder.
The documentation of the token issuance programme comprised of a securities prospectus which has been approved by the Liechtenstein Financial Market Authority pursuant to the EU Prospectus Regulation and allows Mimo to publicly offer tokenized debt instruments in selected EU jurisdictions according to its business needs. The tokens issued under the programme by Mimo are among Europe's first private debt instrument tokens, and are a great example of tokenized financial instruments issued under the landmark Liechtenstein DLT legal framework. The tokens offer investors access to sovereign or corporate bonds such as US Treasury Bills as well as standard corporate bonds of corporates such as a German manufacturer of electric vehicles.
Dr. Philip Cavaillès (Partner, Transaction Lead, Munich) led the Taylor Wessing team which advised Mimo on all financial regulatory and capital markets aspects of the offering with its German capital markets team led by Dr. Christian Köhler (Berlin/Frankfurt) and its regulatory team led by Dr. Verena Ritter-Döring and Miroslav Đurić LL.M.
