Providing regulatory advice to REWE Group relating to their cross border acquisition of Lekkerland Group
REWE Group on provision of cross border regulatory advice relating to the acquisition of Lekkerland, a multinational wholesale and distributor business. The team advised on all regulatory issues including permits, EHS, dangerous goods and product related requirements such as the Tobacco Directive. The team also provided an in depth analysis of all affected jurisdictions (Austria, Belgium, Germany, the Netherlands, Spain, and Switzerland).
Competition and merger control law advice to REWE on various projects, among others on the acquisitions of coop and Lekkerland. REWE is one of the most important German trading and tourism companies, which we advise on various large-scale cross-border projects.
Apotex on the sale of six European subsidiaries in Belgium, Poland, the Netherlands, Czech Republic and Spain, to Aurobindo for EUR74 million. This highly complex transaction involved the share transfer of subsidiaries in multiple jurisdictions being co-ordinated and managed by our UK team. We simultaneously advised on a multitude of business separation, ongoing product supply agreements and IP licences for the European business to continue operating after being removed from the Apotex group.
Company obtains first cyber injunction under the protection of anonymity
A UK listed company on the theft of data and subsequent ransom of the company. We obtained an injunction against the hackers (PML v Persons Unknown) for the client, which is the first time judgment has been obtained for a listed company against hackers in which anonymity was granted to the company in relation to the interim injunction and then on a permanent basis. The team co-ordinated the entire incident response, including instructing forensic IT and working heavily with UK cybercrime police.
