A team from Taylor Wessing led by Munich partners Dr. Peter Hellich and Dr. Oliver Rothley advised Voltabox AG, listed on the regulated market of the Frankfurt Stock Exchange (Prime Standard), on the acquisition of all shares in GMS Electronic Vertriebs GmbH, based in Jockgrim in the Palatinate ("GMS"). The seller is Gebhard Holding GmbH. The consideration was paid in the form of a combination of a cash payment and the issuance of new shares through a capital increase based on authorized capital without subscription rights. Taylor Wessing advised Voltabox AG on all aspects of the preparation and execution of the acquisition and the associated capital increase.
Voltabox AG is a technology-driven provider of battery systems and complex electronic solutions. The company develops and manufactures electronic assemblies, components, and complete systems that are used in the battery and energy storage industry, life-supporting medical technology, mechanical engineering, industrial measurement and control technology, IoT solutions, and event technology, among other areas. For more than 25 years, GMS has specialized in the international distribution of electronic components and devices for applications in medical technology, event technology, industry, automation, and network and communication technology. The transaction is in line with Voltabox AG's current M&A growth strategy and represents an expansion of the existing value chain, which has primarily focused on development and production.
