Taylor Wessing, under the lead of Munich based partners Dr Hendrik Boss and Dr Philip Cavaillès, successfully advised the preliminary insolvency administrator Volker Böhm (Schultze & Braun) on the agreement for the takeover of the Ziegler insulation company “naturheld” by Josef Rettenmaier Naturenergie Holding GmbH & Co. KG, a subsidiary of the JRS Group. Taylor Wessing advised on the legal structuring and implementation of the transaction.
As a result, the first Ziegler subsidiary was able to secure its survival via an investor. As part of the transaction, both the site in Grafenwoehr/Hütten and all 130 employees will be retained. The JRS Group, an internationally active family-owned business, plans to realize the growth plans of “naturheld” and strengthen its sales activities.
Production will continue without interruption and the transfer of operations is scheduled for mid-March, subject to approval by the German Federal Cartel Office and formal acceptance of the offer to complete the transaction. The parties have agreed not to disclose the purchase price.
At the same time, the investor process for other parts of the Ziegler Group is making great progress. In the auction process for the timber and logistics division, further interested parties have expressed their serious interest. The decision which of the interested parties will succeed should be made by the end of January if possible.
