Taylor Wessing advises Hillenbrand, Inc. on the sale of ABEL Pumps to IDEX Corporation

US headquartered Hillenbrand, Inc. (NYSE: HI) has reached a definitive agreement to sell its ABEL Pumps business to IDEX Corporation for a purchase price of US $ 103.5 million in cash, subject to customary post-closing adjustments. A team from the international law firm Taylor Wessing, led by Hamburg partners Robert Wethmar and Amir-Said Ghassabeh, advised Hillenbrand on the sale. The transaction is expected to be completed in Hillenbrand's second fiscal quarter, subject to customary closing conditions.

Taylor Wessing had already advised the seller on the sale of the ABEL Business to Hillenbrand, Inc. in 2015.

Hillenbrand is a global diversified industrial company with businesses that serve a wide variety of industries around the world. The ABEL Pumps business, headquartered in Buechen, Germany, consists of companies in Germany, the USA and Spain and is a global market leader in the field of industrial pump production. The group of companies specializes in the development, design, manufacture and sale of diaphragm and piston pumps as well as pump solutions and the corresponding service and maintenance. ABEL components are used in power generation, wastewater treatment, mining, oil, gas and shipping industries.

IDEX Corporation is also listed on the NYSE and operates with over 40 companies worldwide. Their portfolio includes technical solutions in niche markets in various industries. The ABEL Business will be integrated into IDEX's Fluid and Metering Technologies segment. A team from the international law firm Sidley Austin, led by Munich partner Dr. Marcus Klie, advised IDEX Corporation in connection with the transaction.
