Kelly is a senior counsel advising on commercial contract and intellectual property matters in technology-centred transactions.

Kelly is highly experienced in drafting and negotiating contracts for a variety of technologies. She specialises in complex, mission-critical projects including transformational IT projects and novel technologies. Kelly has particular expertise within the fintech and fashion / retail sectors. She works with customers and suppliers across a broad range of technology services including those at the forefront of e-commerce, fashiontech, financial services, software-as-a-service (SaaS) and cloud services.

Experience

Farfetch on a ground-breaking white label contract for fashion retailer Harrods	Farfetch on their contract to develop and operate Harrods' global e-commerce operations. This is a white label service provided through Farfetch's proprietary 'Black and White' platform and logistics and e-retail management resources. This deal may pave the way for further white label arrangements for Farfetch.
Continuing to advise long-standing client, Farfetch	Farfetch, the online community of the world’s best fashion boutiques and global brands, on a range of matters. These include on their commercial partnership agreements with retailers such as Harrods, on all of its corporate financing rounds ahead of its USD8bn IPO on the New York Stock Exchange, including it's USD397 million Series G fundraising by new investor, and ecommerce giant, JD.com.
Multimillion pound outsourcing contract	A large insurance company on a major outsourcing project, involving a full digital transformation of their processes and systems to a major technology supplier. We advised, negotiated and drafted the various agreements, including coordinating multi-disciplinary support from across the firm.
