A team from Taylor Wessing led by Munich-based partners Dr Peter Hellich and Dr Oliver Rothley advised Voltatron AG (ISIN DE000A2E4LE9), listed on the Regulated Market (Prime Standard) of Deutsche Börse AG in Frankfurt am Main, on the acquisition of all shares in Komitec Electronics GmbH (Komitec). The consideration comprises new shares issued from a capital increase through contributions in kind and a cash component to the selling shareholders of Komitec Electronics GmbH. The acquisition is part of Voltatron's ongoing buy-and-build strategy on its way to becoming one of the top 10 EMS providers in Germany.
Voltatron is a provider of innovative technology solutions for industrial lithium-ion battery systems and energy storage devices, as well as advanced electronic components. Together with its specialised subsidiaries, the company develops, manufactures and distributes complex electronic parts, assemblies and systems. In addition to battery and energy storage applications, these are also used in industrial measurement and control technology, IoT and automation solutions, professional event technology (lighting and sound) and medical technology.
Komitec is a highly qualified, established provider of electronic manufacturing services (EMS) for a wide range of industrial applications. The company employs around 100 people and generated sales of around €17.5 million (according to HGB) in the 2024 financial year. KOMITEC operates a state-of-the-art electronics production facility covering more than 4,000 square metres in Zwönitz (Saxony), in the immediate vicinity of Voltatron subsidiary EKM Elektronik GmbH. The company also has a location in Bulgaria. With this acquisition, Voltatron has more than doubled its previously available production space.
The transaction is in line with Voltatron AG's current M&A growth strategy and represents an expansion of the existing value chain, which has primarily focused on development and production.
