Advising Gresham Technologies on its sale to Alliance Bidco

We have advised Gresham Technologies plc, a software firm on its sale to Alliance Bidco, a company owned indirectly by funds managed or advised by STG Partners.

The boards of Gresham Technologies and Alliance Bidco have agreed to a recommended cash acquisition by Alliance Bidco of the entire issued and to be issued ordinary share capital of Gresham Technologies. The transaction values Gresham Technologies' ordinary share capital at approximately £146.7 million on a fully diluted basis, and is expected to be implemented by means of a scheme of arrangement under the Companies Act 2006. Gresham Technologies' shares are admitted to trading on the Main Market of the London Stock Exchange and to the premium listing segment of the Official List of the FCA. 

The deal was led by Corporate partner Robert Fenner. Further support was provided by partner Tandeep Minhas, senior associate Samuel Curme, associate Nuria Ashmore Barrios and trainee Ben Eaves in the Corporate Finance team, and senior associate Elliot Michaelson Taylor in the Tax and Incentives team.
