On 1 October 2022, a new amendment to the Act on the Registration of Beneficial Owners (Act No. 245/2022 Coll., amending Act No. 37/2021 Coll., the “Act", or Act No. 245/2022 Coll., the “Amendment") comes into effect. A summary of the most important changes it brings can be found in the following article.
Why is an amendment to the law necessary? What are the major changes?
The main reason for adopting the Amendment is the incorrect transposition of the 5th AML Directive. The European Commission sees an inconsistency with the Directive in the definition of what a beneficial owner is, but also in some exceptions from the obligation to register the beneficial owner, because the Act at present lists a relatively broad range of entities that do not have a beneficial owner.
The current two-track definition identifying a beneficial owner as either an “ultimate beneficiary“ or a “person with ultimate influence“ is to be replaced with a new unifying definition. The Amendment will mean that any natural person owning or controlling a legal entity or legal arrangement will be the beneficial owner. In the register of beneficial owners itself there will be no difference between an ultimate beneficiary and a person with ultimate influence – it will only indicate whether the nature of a beneficial owner’s status is direct or indirect, or whether the person is a substitute beneficial owner, and how this was determined.
Who will be the beneficial owner of a corporation under the new regulation?
1. While the legislation currently in effect defines ultimate influence in a corporation by referring to control, the new Amendment defines a beneficial owner more broadly as a natural person who directly or indirectly through another person or legal arrangement:
a) holds interest in the corporation (meaning ownership interest in the corporation) or a voting interest in excess of 25% (which applies even if his or her interest in the share capital is less) – under the current regulation in force, anyone that holds a voting interest in excess of 25% is not a beneficial owner unless he or she controls the corporation;
b) has theright to a share of the profits, other own resources or liquidation balance larger than 25% – corresponds to the current regulation in force;
c) exercises decisive influence in a corporation or corporations that individually or jointly hold a larger than 25% share in the corporation in question – the natural person controls the corporation or corporations that hold a larger than 25% share in the Czech corporation (see a);
d) exercises decisive influence in the corporation by other means – this is a general clause meant to address any other kinds of control.
According to the new legislation, decisive influence is that exercised by those who can directly or indirectly make the highest body of the corporation’s decisions correspond to their will at their own discretion. In a commercial corporation, decisive influence is exercised by the controlling person (according to the terminology of the Commercial Corporations Act, No. 90/2012 Coll.). The Amendment contains a rebuttable presumption that decisive influence in a corporation is exercised by the person who can appoint or remove a majority of the members of the statutory body of the corporation.
The Amendment therefore expands the scope of registered beneficial owners by lowering the guideline threshold to 25% (see a) and c) above).
2. There will be no change to the fact that if a beneficial owner cannot be decided on using the definitions above or if the corporation is controlled by a legal entity that has no beneficial owner a Czech corporation can list top management at the head of its ownership structure as substitute beneficial owner (please see below).
There is a key change in the new rules for calculating indirect holdings, which impact situations in which one person holds a share indirectly through another person or legal arrangement, and as a result may be the actual beneficial owner. Where chaining is taking place (ownership or control through a series of connected entities or downstream relationships), shares held by connected entities are to be multiplied with each other. This means that the method so far applied only to determine the ultimate beneficiary should now be applied to all cases of chaining. If there is branching in the relationship structure (multiple individual chains), total shares from each chain are added to each other.
Which entities are required to register their beneficial owner?
Apart from the changes above the list of entities that do not have a beneficial owner has been reduced: e.g. the state and local self-governing units, state-run organizations; also Czech legal entities established to meet needs of public interest which are not industrial or commercial in nature, if the Czech Republic, its region or municipality (i) provides primary funding, (ii) and exercises decisive influence on them or (iii) can appoint or dismiss the majority of the members of the organization’s executive or supervisory body (e.g, Czech Railways, state funds, universities, etc.).
Entities such as educational legal entities established by the state or a local self-governing unit, public research institutions, legal entities established by law or international treaty, or state-owned enterprises and national enterprises, are all subject to a rebuttable presumption that they do not have a beneficial owner.
Entities which on the other hand will be newly obliged to register the beneficial owner include, for example, voluntary associations of municipalities, political parties or movements, churches and religious societies, as well as trade unions or associations of owners of residential units.
By when do existing registrations need to be updated?
- Entities which have fulfilled their obligation to register their beneficial owner under the Act currently in force will have six months to bring the registration into compliance with the amended regulation, i.e. 1 April 2023.
- Similarly, entities newly obliged to register their beneficial owner must do so within six months from the date the Amendment comes into effect.
- Entities that have not yet carried out the registration must do so without undue delay.
Because the change in the definition of beneficial owner can mean, in some cases, that different persons than those who were beneficial owners under the previous version of the Act will now have to be registered, we recommend that all corporations check whether their current entry in the register of beneficial owners complies with the new rules for determining the beneficial owner, and if not, update it. Again, the Amendment proposal must be supported by relevant documents, so we recommend that you start checking the data as soon as possible to ensure that the persons registering make any amendment to the entry within the deadline.
Applications received by the court (or applications made to notaries) prior to 30 September 2022 will be dealt with in accordance with the current regulation. (For the sake of completeness, it should be noted that an application made on a form completed before 1 October 2022 and received by the court after 30 September 2022, will be rejected. In addition, the register of beneficial owners is expected to be out of operation for about one month from 1 October 2022 for technical reasons related to the Amendment and it will not be able to register any information/data.)
The procedures for identifying beneficial owners and collecting documents that are currently being carried out should already take the upcoming regulation into consideration.
Penalties
Given that this change is taking place we would like to point out that there are penalties for breach of obligation to register the beneficial owner of an entity (these include especially financial sanctions, prohibition of payment of a share of profits, other resources or liquidation balance or prohibition of exercising voting rights).
After the Amendment comes into effect, in the case of corporate structures without a beneficial owner according to the above definitions where a substitute beneficial owner should be entered in the register and this substitute beneficial owner has not yet been entered, the prohibition on payment of profit shares and the prohibition on the exercise of voting rights will no longer apply. Examples given in the Explanatory Notes are incorrect designation of persons in the top management of the corporation or incorrect designation of the corporation at the top of a chain; these are described as "relatively formal error". Even in this case, however, it is absolutely necessary to duly establish in advance whether or not the corporation has a material beneficial owner.
Novela zákona o evidenci skutečných majitelů
Dne 1. října 2022 nabude účinnosti novela zákona o evidenci skutečných majitelů (zákon č. 245/2022 Sb., novelizující zákon č. 37/2021 Sb., dále „Zákon“ resp. zákon č. 245/2022 Sb. „Novela“). Shrnutí nejpodstatnějších změn, které přináší, naleznete v následujícím článku.
Proč je potřeba Zákon novelizovat? Jaké jsou nejdůležitější změny?
Důvodem přijetí Novely je nesprávná transpozice páté AML směrnice do českého právního řádu. Nesoulad se směrnicí spatřuje Evropská komise jednak v nesprávném vymezení skutečného majitele, a také v některých výjimkách z povinnosti jej evidovat, neboť Zákon v dosavadním znění uvádí relativně široký okruh subjektů, které skutečného majitele nemají.
Dosavadní dvoukolejná definice skutečného majitele, dle které jím mohl být „koncový příjemce“ nebo „osoba s koncovým vlivem“, se nahrazuje novou jednotnou definicí, a po novele se tak skutečným majitelem rozumí každá fyzická osoba, která v konečném důsledku vlastní nebo kontroluje právnickou osobu nebo právní uspořádání. V samotné evidenci skutečných majitelů tak již nadále nebude rozlišováno mezi koncovým příjemcem a osobou s koncovým vlivem – k povaze postavení skutečného majitele bude toliko uvedeno, zda je skutečný majitel přímý či nepřímý, nebo se jedná o náhradního skutečného majitele, a jak byl určen.
Kdo bude podle nové úpravy skutečným majitelem korporace?
1. Zatímco stávající právní úprava pracuje s materiálním pojetím koncového vlivu v korporaci, tedy poukázáním na ovládání, nová právní úprava vymezuje skutečného majitele šířeji jako fyzickou osobu, která přímo nebo nepřímo prostřednictvím jiné osoby nebo právního uspořádání:
a) má podíl v korporaci (tj. ve smyslu majetkové účasti na společnosti) nebo podíl na hlasovacích právech větší než 25 % (což platí i v případě, že je jeho podíl na základním kapitálu nižší) – podle stávající platné úpravy není ten, kdo drží podíl na hlasovacích právech převyšující 25 %, skutečných majitelem, pokud korporaci neovládá;
b) má právo na podíl na zisku, jiných vlastních zdrojích nebo likvidačním zůstatku větší než 25 % – odpovídá současné platné úpravě;
c) uplatňuje rozhodující vliv v korporaci nebo korporacích, které mají v dané korporaci samostatně nebo společně podíl větší než 25 % – fyzická osoba ovládá korporaci, resp. korporace mající v české korporaci podíl větší než 25 % (viz písm. a);
d) uplatňuje rozhodující vliv v korporaci jinými prostředky – jedná se o obecnou klauzuli zahrnující veškeré formy ovládání.
Rozhodující vliv podle nové právní úpravy uplatňuje ten, kdo na základě vlastního uvážení může přímo nebo nepřímo dosáhnout toho, že rozhodování nejvyššího orgánu korporace odpovídá jeho vůli. V obchodní korporaci uplatňuje rozhodující vliv ovládající osoba (dle terminologie zákona o obchodních korporacích). Novela obsahuje vyvratitelnou domněnku, že rozhodující vliv v korporaci uplatňuje ten, kdo může jmenovat nebo odvolat většinu členů statutárního orgánu korporace.
V důsledku tak Novela rozšiřuje okruh zapsaných skutečných majitelů tím, že snižuje směrodatnou hranici na 25 % (viz písm. a), c) výše).
2. I nadále platí, že pokud nelze zjistit skutečného majitele podle výše uvedených definic nebo pokud je korporace ovládaná právnickou osobou, která skutečného majitele nemá (viz níže), česká korporace zapíše vrcholný management korporace na vrcholu vlastnické struktury jako náhradního skutečného majitele.
Klíčovou změnou jsou nová pravidla pro výpočet nepřímých podílů, dopadající na situaci, kdy má někdo podíl nepřímo prostřednictvím jiné osoby nebo právního uspořádání, v důsledku čehož může být skutečným majitelem. V případě řetězení (tedy vlastnictví nebo kontroly prostřednictvím na sebe postupně navázaných subjektů či navazujících vztahů) se podíly, které mají navázané subjekty, násobí. Metoda, která se doposud uplatňovala pouze pro určení koncového příjemce, by tedy měla nově být aplikována ve všech případech řetězení. Pokud se ve struktuře vztahů vyskytuje větvení (tj. více jednotlivých řetězení), součiny podílů z jednotlivých řetězení se sčítají.
Které subjekty jsou povinny evidovat skutečného majitele?
Mimo výše uvedené změny byl rovněž zúžen výčet subjektů, které nemají skutečného majitele: např. stát a územní samosprávný celek, státní příspěvková organizace; dále české právnické osoby založené nebo zřízené za účelem uspokojování potřeb veřejného zájmu, které nemají průmyslovou nebo obchodní povahu, pokud Česká republika, kraj nebo obec je převážně (i) financují, (ii) uplatňují v nich rozhodující vliv nebo (iii) jmenují nebo odvolávají většinu členů jejich statutárního nebo kontrolního orgánu (např. České dráhy, a.s., státní fondy, vysoké školy atd.).
Na některé subjekty, např. školské právnické osoby zřízené státem nebo územním samosprávným celkem, veřejné výzkumné instituce, právnické osoby zřízené zákonem nebo mezinárodní smlouvou, či na státní podniky a národní podniky, se uplatní vyvratitelná domněnka, že skutečného majitele nemají.
Mezi subjekty, které naopak nově povinnost evidovat skutečného majitele mít budou, se řadí například dobrovolné svazky obcí, politické strany nebo hnutí, církve a náboženské společnosti, nebo také odborové organizace či společenství vlastníků jednotek.
Do kdy je potřeba zrevidovat stávající zápisy?
- Subjekty, které splnily svou povinnost zapsat skutečného majitele podle aktuálně účinného Zákona, budou mít šest měsíců na uvedení zápisu do souladu s novelizovanou úpravou, tj. do 1. dubna 2023.
- Stejně tak subjekty, které mají nově povinnost evidovat skutečného majitele, musí zajistit provedení zápisu o skutečném majiteli do šesti měsíců od nabytí účinnosti Novely.
- Subjekty, které ani doposud žádný zápis do evidence skutečných majitelů neprovedly, jej musí provést bez zbytečného odkladu.
Vzhledem k tomu, že se změnou definice skutečného majitele budou v některých případech muset být nově zapsány jiné osoby, než které byly skutečnými majiteli dle dosavadního Zákona, doporučujeme všem korporacím ověřit, zda stávající zápis v evidenci skutečných majitelů odpovídá novým pravidlům pro určení skutečného majitele, popř. provést změnu zápisu v evidenci. Změnový návrh je opět nutno doložit příslušnými dokumenty. Z toho důvodu tedy doporučujeme započít s kontrolou údajů co nejdříve, aby evidující subjekty provedly případný změnový zápis ve stanovené lhůtě.
Návrhy došlé soudu (nebo žádosti podané notáři) do 30. září 2022 (včetně) se vyřídí podle dosavadní úpravy. (Od 1. října 2022 bude pro návrh do evidence skutečných majitelů nutné využít nové formuláře. Pro úplnost uvádíme, že návrh na formuláři vyplněný před 1. říjnem 2022, který dojde soudu po 30. září 2022, bude odmítnut. Navíc od 1. října 2022 by měla být Evidence skutečných majitelů přibližně na měsíc z technických důvodů v souvislosti s Novelou nefunkční a nebude tak možné provádět zápis jakýchkoli informací/údajů.)
V současnosti probíhající identifikace skutečných majitelů a shromažďování podkladů by již měly vzít v potaz nastávající úpravu.
Sankce
V této souvislosti upozorňujeme na sankce za porušení povinnosti zápisu skutečného majitele do evidence (zejména finanční sankce, zákaz výplaty podílu na zisku, jiných vlastních zdrojích či na likvidačním zůstatku nebo zákaz výkonu hlasovacích práv).
Zákaz výplaty podílu na zisku a zákaz výkonu hlasovacích práv se po Novele nemá uplatnit v případě korporátních struktur bez materiálního skutečného majitele, kdy se do evidence zapisuje náhradní skutečný majitel, a tento náhradní skutečný majitel zapsán nebyl. Důvodová zpráva jako příklady uvádí nepřesné určení osob ve vrcholném vedení korporace nebo nesprávné určení korporace na vrcholu řetězení, které označuje jako „spíše formální pochybení“. I v tomto případě je však naprosto nezbytné předem důkladně zjišťovat, zda korporace materiálního skutečného majitele má či nikoliv.
