Following Regulation (EU) 2019/452, which sets out the framework for the screening of foreign investments into the EU, new Act No. 34/2021 Coll., on the screening of foreign investments (the "Act") came into force on 1 May 2021. The Act in principle imposes an obligation to control and verify investments in certain strategic sectors of the Czech economy made by parties from third countries with regard to the security interests of the Czech Republic and its internal or external order. Selected investments can thus be implemented only with prior permission from the Ministry of Trade and Industry (the "Ministry") or with consultation with the Ministry.

Which type of investment the new legislation applies to?
The Act applies to foreign investment. It defines a foreign investor as an entity or person that is (i) not a citizen of the Czech Republic or another EU member state, (ii), if applicable, does not have its registered office in the Czech Republic or another EU member state, or (iii) is directly or indirectly controlled by a person meeting the criteria of items (i) or (ii). It is important to note in this context that, for example, investors from the UK or other non-EU countries (albeit within the EEA) are already subject to the Act.
Under the new legislation, investors based abroad must obtain prior permission for any their investment enabling them to gain effective control over a subject engaging in a particular activity in a strategic economic sector in the Czech Republic or over an asset that the target uses in its activities. Under the Act, a foreign-based investment in a target company may not be carried out without Ministry’s permission if the target is engaged in the following activities:
- research, development, manufacture of or innovations to military equipment, or ensuring the life cycle of such equipment
- operation of critical infrastructure (for example, energy transmission and distribution, data centres and exchanges, certain sectors of animal and plant production, and healthcare infrastructure)
- administration of the information and communication system of critical information infrastructure, administration of critical infrastructure or the operation of critical infrastructure (e.g. a telecommunications company, or providers and owners of energy infrastructure) or
- development or manufacture of dual items (e.g. goods that can be used for civilian or military purposes)
Under the Act, "effective control" is very broadly defined as:
- the possibility of disposing with at least 10 % of the voting power of shares or of exercising an adequate influence on the entity
- a foreign investor or a closely related party being a member in the governing body of the target
- the possibility of a foreign investor acquiring property rights to an asset that the target uses to carry out activities in a strategic economic sector or
- another form of control, resulting in the foreign investor’s ability to acquire information, systems or technology, which are vital for protecting the security of the Czech Republic or internal or public order
The last definition in particular appears very problematic for practise because it does not delineate clear boundaries. It also leaves significant discretion to the Ministry in assessing whether a specific investment will or won’t require consent.
Permission and consultations with the Ministry
The Act also introduces two approval mechanisms for foreign investments. Should a project involve an investment in a target’s asset or in a target operating a strategic activity under items 1) to 4) above, the foreign investor must always obtain prior permission from the Ministry.
Conversely, under the Act, the onus is on the investor to assess whether the project could pose a threat to the security of the Czech Republic or internal or public order. In this context, the investor may seek a voluntary consultation with the Ministry. However, such consultation become obligatory should the target of the investment hold a national broadcaster’s licence (radio or television) or is the publisher of periodicals with an aggregate minimum circulation of 100,000 copies daily during the previous calendar year (the obligatory consultation). The consultation will result in the initiation of a procedure for the approval of the foreign investment or the Ministry will inform the investor that the investment falls out of scope of approval process. If the foreign investor has not submitted a proposal for voluntary consultation, the Act allows the Ministry to initiate a procedure for review of the foreign investment up to 5 years from the date of completion of the foreign investment. The advantage of the voluntary consultation lies mainly in the investor's increased legal clarity that: the Ministry’s approval of the investment is unnecessary, and that it will not screen the said investment project in the future.
Decision and possible sanctions
The Ministry decides on a foreign investment project in three ways. The Ministry may permit (or allow) the foreign investment, prohibit the realization of the foreign investment or even prohibit the ongoing foreign investment, or the Ministry may permit (or allow) the foreign investment subject to certain conditions (e.g., sale of the investment or restriction on the exercise of certain rights). The decision must be issued within 90 days; in complex cases, this period can be extended by 30 days.
If an investment requires prior permission but the investor carries out the project without such permission (or if the conditions attached to the investment are breached), the investor faces the risk of the investment being prohibited, the target investment undergoing a forced sale, or ownership and voting rights being restricted. In addition, a foreign investor faces a financial penalty of up to 2 % of net turnover during the most recent accounting period or up to CZK 100,000,000 if the net turnover of the foreign investor cannot be determined.
Conclusion
The Act basically introduces new restrictions on foreign investors concerning investments in the Czech Republic. Given the possibility of very significant sanctions, each foreign investment must be carefully assessed to determine whether it is subject to the obligations under the Act. The new regulation will also need to be taken into account in the preparation and timing of the transactions and transaction documentation in question. In addition, the Act applies to investments (transactions) that have not yet been completed before the Act took effect.
Prověřování zahraničních investic
V návaznosti na evropské nařízení 2019/452 stanovící rámec pro prověřování zahraničních investic do EU nabyl dne 1. května 2021 účinnosti nový zákon č. 34/2021 Sb., o prověřování zahraničních investic („Zákon“). Zákon v zásadě ukládá povinnost kontroly a prověřovaní investic pocházejících ze zemí mimo EU do vybraných strategických sektorů českého hospodářství, a to s ohledem na bezpečnostní zájmy Českého republiky a jejího vnitřního nebo vnějšího pořádku. Vybrané investice je tak možné realizovat až po předchozím povolení Ministerstva průmyslu a obchodu („MPO“) či po konzultaci s MPO.
Na jaké investice nová právní úprava dopadá?
Zákon dopadá na investice pocházející od zahraničního investora, kterého Zákon definuje jako osobu, která (i) není státním občanem České republiky, a ani jiného členského státu EU, (ii) případně nemá sídlo na území České republiky nebo v jiném členském státě EU; (iii) nebo je přímo či nepřímo ovládána osobou, která splňuje bod (i) nebo (ii). V této souvislosti je potřeba si uvědomit, že např. investoři z Velké Británie či jiných zemí mimo EU (i když v rámci EHP) již režimu Zákona podléhají.
Dle nové právní úpravy jsou zahraniční investoři povinni získat před realizací své investice povolení, pokud jde o investici, která zahraničnímu investorovi umožní vykonávat účinnou míru kontroly nad subjektem, jež v České republice vykonává vybranou činnost ve strategické oblasti hospodářství, nebo nad věcí, jejímž prostřednictvím k výkonu takovéto činnosti dochází. Dle Zákona nesmí být bez povolení MPO uskutečněna zahraniční investice do cílové osoby (do cílové věci), která:
- provádí výrobu, výzkum, vývoj, inovace nebo zajišťování životního cyklu vojenského materiálu;
- provozuje prvek kritické infrastruktury (např. distribuční a rozvodné soustavy v oblasti energetiky, datová centra a ústředny, některá živočišná a rostlinná výroba, zdravotnická infrastruktura);
- je správcem informačního systému kritické informační infrastruktury, správcem komunikačního systému kritické informační infrastruktury, správcem informačního systému základní služby nebo provozovatelem základní služby (např. telekomunikační společnosti, poskytovatelé a vlastníci infrastruktury energií); nebo
- vyvíjí nebo vyrábí zboží dvojího užití (tj. zboží, které lze použít pro civilní i vojenské účely).
Účinnou míru kontroly pak FDI zákon vymezuje velice široce a to jako:
- možnost nakládání nejméně s 10 % podílem na hlasovacích právech nebo možnost uplatnit tomu odpovídající vliv;
- členství zahraničního investora nebo osoby jemu blízké v orgánu cílové osoby;
- možnost zahraničního investora nakládat s vlastnickými právy k věci, jejímž prostřednictvím dochází k výkonu činnost ve strategické oblasti hospodářství; nebo
- jinou míru kontroly, jejímž důsledkem je schopnost zahraničního investora získat přístup k informacím, systémům nebo technologiím, které jsou důležité z hlediska ochrany bezpečnosti České republiky nebo vnitřního či veřejného pořádku.
Zejména poslední zmíněný bod d) se pro praxi jeví jako velice problematický, protože neobsahuje jasné mantinely a ponechává tak MPO velkou míry diskrece ve vztahu k posouzení, zda určitá investice bude nebo nebude vyžadovat potřebné povolení.
Povolení a konzultace s MPO
Zákon přichází ohledně zahraničních investic se dvěma režimy. Pokud zahraniční investice směřuje do cílové věci nebo cílové osoby provozující činnost ve strategické oblasti uvedené pod body 1 až 4) výše, je zahraniční investor povinen o předchozí souhlas MPO zažádat vždy.
V opačném případě Zákon nechává na investorovi, aby posoudil, zdali je investice způsobilá ohrozit bezpečnost České republiky nebo její vnitřní či veřejný pořádek. Zahraniční investor má v této souvislosti možnost podat návrh na dobrovolnou konzultaci s MPO. Pokud je však cílová osoba investice držitelem licence pro celoplošné rozhlasové nebo televizní vysílání nebo vydavatelem periodického tisku, jehož souhrnný minimální průměrný tištěný náklad činí 100 000 výtisků za den za poslední kalendářní rok, je třeba o konzultaci s MPO zažádat vždy (povinná konzultace). Výsledkem konzultace bude buď zahájení řízení o schválení zahraniční investice nebo oznámení investorovi, že investice schválení nepodléhá. Pokud zahraniční investor nepodal návrh na dobrovolnou konzultaci, Zákon umožňuje MPO zahájit řízení o prověření zahraniční investice, a to až do 5 let ode dne dokončení zahraniční investice. Výhoda dobrovolné konzultace spočívá tak zejména ve zvýšení právní jistoty investora, že povolení MPO k realizace investice není potřeba, a že s ním tak MPO v budoucnu ohledně investice řízení o jejím prověření nezahájí.
Rozhodnutí a případné sankce
MPO se nabízí tři možnosti, jak o zahraniční investici rozhodnout. MPO může zahraniční investici povolit (resp. připustit), zakázat uskutečnění či dokonce trvání zahraniční investice, případně ji může povolit (resp. připustit) za splnění určitých podmínek (např. prodej investice nebo omezení výkonu určitých práv). Na vydání rozhodnutí má pak MPO 90 dní, respektive tato lhůta může být ve složitých případech o 30 dní prodloužena.
Zahraniční investor, který realizuje svoji investici, u níž je vyžadováno povolení MPO, aniž by byla investice povolena (nebo pokud jsou podmínky rozhodnutí porušeny), se vystavuje riziku spočívajícím až v zákazu takovéto investice, nucenému odprodeji cílové investice či omezení vlastnických a hlasovacích práv. Navíc zahraničnímu investorovi hrozí peněžitá sankce a to až do 2 % z celkového čistého obratu dosaženého zahraničním investorem za poslední ukončené účetní období nebo až do výše 100 000 000 Kč, pokud se výši čistého obratu zahraničního investora nepodaří zjistit.
Závěr
Zákon v zásadě přináší nová omezení pro zahraniční investory, pokud jde o jejich investice v tuzemsku. Vzhledem k možnosti udělení velmi citelných sankcí, je třeba u každé zahraniční investice pečlivě posoudit, zdali na ni dopadají povinnosti v Zákoně obsažené. Novou regulaci bude třeba taktéž zohlednit při přípravě a načasování předmětných transakcí a transakční dokumentace. Navíc se Zákon vztahuje i na investice (transakce), které ještě nebyly do účinnosti Zákona dokončeny.
