As you are probably aware, on 1 June 2021, the new Act on the Registration of Beneficial Owners, No. 37/2021 Coll., implementing the Fifth Anti-Money Laundering Directive (EU) 2018/843 of 30 May 2018, will come into force.
This new act (replacing the existing legislation) is designed to “again” increase the transparency of legal entities and to help resolve and clarify the relationships between and the structure of legal entities recorded in the commercial register. The change was made because the existing legislation was insufficient in this regard.
Legislative changes: how they will affect you, and what to watch out for?
Essentially, the new legislation introduces several changes, such as redefining the term “beneficial owner”, new methods of entering information in the register of beneficial owners (the “register”), through a notary, and publicity of registered data. Above all, the new legislation introduces severe penalties.
And not only do these new penalties impact entities financially, they may also present practical difficulties in terms of their functioning as corporations and the exercise of their rights, as well as the exercise of the rights of their shareholders (including the liability of statutory body of the corporation for any damage caused if it acts in contravention of the above regulations, e.g. if the board of directors pays a share of the profit to a shareholder who has not entered its beneficial owner in the register although is obliged to do so).
Who now qualifies as a beneficial owner?
The new regulation sets out detailed rules for determining a beneficial owner of legal entities. However, in principle, a beneficial owner shall be deemed a natural person who
- is the ultimate beneficiary of a significant part of the profit; or
- exercises an ultimate influence in the company (either directly or indirectly).
In practice, often one person meets both criteria (e.g. the shareholder exercises its influence in the company and simultaneously acquires the right to profit distribution). However, in many cases this may not be so (e.g. shareholders of preference shares have the right to a share of the profits, but their voting rights at the company general meeting are limited). In such cases, registration of both persons – both the ultimate beneficiary and the person with an ultimate influence – will be required.
Legal entities, including those with beneficial owners already registered under existing legal regulations, must amend such a registration entry in line with the new legislation. In addition, if necessary, they are obligated to amend the entry and provide relevant documents as evidence of having done so.
We can only recommend that this “revision” process be carried out as soon as possible, not least because of possible penalties, to ensure that legal entities can enter or amend the record of the beneficial owner in the register within the specified deadlines.
What sanctions can be imposed?
The law specifies two categories of sanctions for breaching the obligation to enter correct information in the register of beneficial owners, namely:
- offences in which a fine of up to CZK 500,000 may be imposed; and
- private law sanctions that may significantly affect the rights of shareholders and the functioning of corporations, such as, in particular:
- prohibiting payment of a profit share, other own sources or the liquidation balance share to the actual owners of a corporation, unless they are indicated as the registered beneficial owners of this corporation in the register;
- prohibiting payment of a profit share, other own sources or the liquidation balance share to any shareholder of a company who does not have any beneficial owner entered in the register;
- terminating entitlement to the share of any profit or other own sources, which was not paid because the beneficial owner had not been entered in the register by the end of the accounting period when the decision on the payment was made (i.e. for the distribution of profits for 2020, the shareholder must meet the payment conditions by 31 December 2021 at the latest);
- prohibiting the exercise of voting rights by the beneficial owner at the company’s general meeting or prohibiting a sole shareholder from taking decisions unless it is registered as the beneficial owner in the register;
- prohibiting the exercise of voting rights at the company’s general meeting by any shareholder who does not have any beneficial owner entered in the register;
- unenforceability of rights and obligations resulting from legal acts (e.g. agreements) in court, which were designed to conceal the identity of the beneficial owner and that arose during the time when the beneficial owner was not registered.
Entry in the register of beneficial owners via a notary?
The aim of the new legislation is, if possible, to transfer to notaries most of the administration concerning an entry in the register. This is also shown by the fact that the fee for registration by a notary should be lower than the fee for registration with the registration court. We will see how the practice of notarial registration will develop.
Unfortunately, at the moment, we do not know what the register records and electronic extracts under the new act will look like and how they can be obtained. We will need to wait a little bit longer for such information, too.
Is there a deadline for entering the beneficial owner in the register?
Complying with the established deadlines will be of crucial importance.
For all corporations fulfilling the obligation to enter the beneficial owner in the current register
- by 1 January 2019 (for corporations established before 31 December 2017), or
- within 15 days of their establishment (for corporations established on or after 1 January 2018)
a six-month period shall apply. These corporations have until 30 November 2021 to review the accuracy of these entries, or to add to or correct them.
Corporations that have not yet fulfilled the obligation to enter their beneficial owner in the current register are not granted this additional period and are obligated to do so without undue delay after 1 June 2021.
Who will have access to the information regarding beneficial owner?
The biggest change under the act is that anyone with access to the internet can now obtain information about the beneficial owner. Therefore, anyone can check who really owns or controls a company entered in the commercial register. Publicly available data will also be crucial for compliance with the existing rules. An inspection of whether the beneficial owner is recorded beside a particular shareholder should therefore pose no problems. Corporations must therefore establish relevant control mechanisms so that they comply with the regulations. In companies with a lower number of shareholders, such an arrangement and inspection should not pose any problems. On the other hand, in joint-stock companies with a higher number of shareholders, inspection of a register entry showing a beneficial owner name beside individual shareholders, e.g. in payment of a profit share through a bank or in being allowed to vote at a large general meeting, could in particular instances cause logistical problems. All we can do is wait for practice (or technology) to resolve this.
Concerning the sanctions and potential liability, it is expected, however, that the companies, in particular their statutory bodies, will carefully monitor and adhere to such rules.
Evidence skutečných majitelů – opět a jinak
Jak již možná víte, 1. června 2021 nabude účinnosti nový zákon o evidenci skutečných majitelů č. 37/2021 Sb. implementující 5. AML směrnici č. 2018/843 ze dne 30. května 2018.
Nový zákon (nahrazující dosavadní úpravu) má za cíl „opět“ zvýšit transparentnost právnických osob a pomoci rozklíčovat vztahy a strukturu právnických osob zapsaných v obchodním rejstříku, jelikož dosavadní právní úprava se v tomto směru ukázala jako nedostatečná.
Legislativní změny: Jak se vás týkají a na co si dát pozor?
Jednoduše řečeno, nová úprava přináší hned několik novinek, např. novou definici skutečného majitele, nové možnosti zápisu do evidence skutečných majitelů (dále jen „evidence“) prostřednictvím notáře, veřejnost samotné evidence a zejména pak stanoví přísné sankce.
A jsou to právě nové sankce, které nejenom mohou zasáhnout subjekty finančně, ale mohou jim způsobit skutečné praktické potíže v rámci jejich korporátního fungování a výkonu jejich práv, a také práv jejich společníků a akcionářů (včetně odpovědnosti statutárního orgánu obchodní korporace za způsobenou škodu v případě, že bude jednat v rozporu s výše uvedenými pravidly, např. pokud představenstvo vyplatí podíl na zisku akcionáři, který nemá v evidenci zapsaného skutečného majitele, ač je k tomuto zápisu povinen).
Kdo se tedy po novu kvalifikuje jako skutečný majitel?
Nová úprava obsahuje detailní pravidla pro určení skutečného majitele právnických osob, nicméně v zásadě se normuje, že za skutečného majitele se považuje fyzická osoba, která
- je koncovým příjemcem podstatné části prospěchu; nebo
- uplatňuje rozhodující vliv ve společnosti (ať už přímo či nepřímo).
V praxi se často stává, že obě kritéria naplňuje jedna osoba (např. společník vykonává svůj vliv ve společnosti a zároveň mu vzniká právo na výplatu podílu na zisku), v mnoha případech tomu tak však být nemusí (např. akcionáři prioritních akcií mají právo na podíl na zisku, ale jejich hlasovací právo na valné hromadě obchodní korporace je omezeno). V takových případech bude nutné zapsat obě osoby – jak příjemce prospěchu, tak i ovládající osobu.
Právnické osoby, včetně těch, které již mají skutečného majitele zapsaného dle dosavadních právních předpisů, musí tento zápis zrevidovat dle nové právní úpravy, a pokud to bude nutné, zápis upravit a doložit příslušnými dokumenty.
Lze jenom doporučit, aby tento „revizní“ proces, i s ohledem na případné sankce, započal co nejdříve tak, aby právnické osoby mohly zápis skutečného majitele v evidenci provést či upravit ve stanovených lhůtách.
Jaké hrozí sankce?
Zákon stanoví dvě kategorie sankcí za porušení povinnosti zápisu správných informací do evidence, a to:
- veřejnoprávní sankce – kdy může být uložena finanční sankce až do výše 500.000 Kč; a
- soukromoprávní sankce, které mohou zásadním způsobem ovlivnit výkon práv společníků, resp. akcionářů a fungování obchodních korporací, jako zejména:
- zákaz výplaty podílu na zisku, jiných vlastních zdrojích či na likvidačním zůstatku skutečným majitelům obchodní korporace, pokud tito nejsou zapsáni jako skuteční majitelé této obchodní korporace v evidenci;
- zákaz výplaty podílu na zisku, jiných vlastních zdrojích či na likvidačním zůstatku jakémukoliv společníkovi, resp. akcionáři obchodní korporace, který nemá v evidenci zapsaného žádného skutečného majitele;
- zánik práva na podíl na zisku či jiných vlastních zdrojích, který nebyl vyplacen z důvodu absence zápisu skutečného majitele do evidence do konce účetního období, ve kterém bylo rozhodnuto o jeho výplatě (tj. pro výplatu podílu na zisku za rok 2020 musí společník, resp. akcionář splnit podmínky pro výplatu nejpozději do 31.12.2021);
- zákaz výkonu hlasovacích práv skutečným majitelem na valné hromadě obchodní korporace nebo zákaz přijímání rozhodnutí jako jediný společník, resp. akcionář obchodní korporace, pokud není jako skutečný majitel zapsán v evidenci;
- zákaz výkonu hlasovacích práv na valné hromadě obchodní korporace jakýmkoliv společníkem, resp. akcionářem, který nemá v evidenci zapsaného žádného skutečného majitele;
- nevymahatelnost práv a povinností z právních jednání (např. smluv) před soudem, jejichž cílem bylo zastřít totožnost skutečného majitele a která vznikla během doby, kdy skutečný majitel nebyl zapsán v evidenci.
Zápis do evidence skutečných majitelů prostřednictvím notáře?
Záměrem nové úpravy je, pokud možno, přenést většinu agendy týkající se zápisu do evidence na notáře, a to i tím, že poplatek za provedení zápisu notářem má být nižší než poplatek za evidenci u rejstříkového soudu. Uvidíme, jak se tato praxe notářských zápisů vyvine.
K dnešnímu dni bohužel není ještě známo, jak evidence a elektronické výpisy z evidence, které nová úprava předvídá, budou vypadat a jakým konkrétním způsobem je bude možné získat. I na tyto detaily si musíme ještě chvilku počkat.
Existuje lhůta k provedení zápisu skutečného majitele?
Dodržení stanovených lhůt bude zcela zásadní.
Na všechny obchodní korporace, které splnily povinnost zapsat skutečného majitele do existující evidence
- do 1. ledna 2019 (v případě korporací vzniklých před 31. prosincem 2017), nebo
- do 15 dnů od svého vzniku (u korporací vzniklých od 1. ledna 2018)
se uplatní lhůta 6 měsíců. Tyto obchodní korporace mají tedy čas do 30. listopadu 2021 k tomu, aby přezkoumaly správnost svých zápisů, případně je doplnily a opravily.
Obchodní korporace, které dosud nesplnily povinnost zapsat svého skutečného majitele do existující evidence, pak tuto dodatečnou lhůtu nemají, a jsou povinny zapsat skutečného majitele bez zbytečného odkladu již po 1. červnu 2021.
Kdo bude mít přístup k informacím o skutečném majiteli?
Největší novinkou zákona je, že nově bude mít přístup k informacím o skutečném majiteli prakticky kdokoli, kdo má přístup k internetu. Každý tedy bude moci zkontrolovat, kdo skutečně vlastní či ovládá společnost zapsanou v obchodním rejstříku. Veřejnost údajů bude stěžejní i z důvodu dodržování stanovených pravidel. Kontrola, zda u konkrétního akcionáře nebo společníka je zapsán skutečný majitel, by tak neměla činit potíže. Obchodní korporace si budou muset povinně nastavit příslušné kontrolní mechanismy, aby byly se stanovenými pravidly v souladu. U společností s menším počtem společníků nebo akcionářů by toto nastavení a kontrola neměly být problematické. Na druhou stranu u akciových společností s větším počtem akcionářů by kontrola zápisu skutečného majitele u jednotlivých akcionářů např. u výplaty podílu na zisku prostřednictvím bank nebo u připuštění k hlasování na větší valné hromadě mohla v daném čase způsobit logistické potíže. Nezbývá než počkat, jak se praxe (či technologie) s výše uvedeným popasuje.
S ohledem na stanovené sankce a odpovědnost za škodu však lze očekávat, že obchodní korporace, zejména pak její statutární orgány, budou výše uvedená pravidla pečlivě kontrolovat.
