On 1 January 2021, an amendment to the Civil Code will come into force, which grants in certain situations consumer privileges to entrepreneurs who conduct sole proprietorship. Such an entrepreneur will be treated as a consumer while making a non-professional transaction.

The provisions amending the Civil Code in the field of consumer protection for entrepreneurs who conduct sole proprietorships were adopted by the Act of 31 July 2019 which amends certain acts to reduce regulatory burdens (Journal of Laws of 2019, item 1495). They amend the Civil Code with regard to the use of abusive clauses and extended warranty for defects, as well as the Act on Consumer Rights (consolidated text in Journal of Laws of 2019, item 134) in the scope of the right to (remotely) withdraw from a contract concluded outside the business premises.
Originally, the changes came into force on 1 June 2020, but due to the pandemic, they will apply from 1 January 2021.
For whom the protection applies
Rights specific to consumers will be vested in individual entrepreneurs in the event that they make a non-professional transaction, i.e. conclude a contract as part of their enterprise, which, however, will not be of a professional nature for them. Most often it will be the case when the content of the contract will indicate that it is concluded for purposes which are directly related to the business activity, but at the same time not of a professional nature (see examples below). Whether a given contract was of a professional nature for a given entrepreneur is determined primarily by the subject of the business activity verifiable by insight into the Central Register and Information on Economic Activity (CEIDG). If the contract falls within the sphere of economic activity, entrepreneurs will not be entitled to consumer rights.
After the amendment comes into force, an individual entrepreneur will be able to act in two roles:

as an entrepreneur-consumer – when the contract was directly related to the business activity, but was not of a professional nature (e.g. owner of a law firm buys a coffee machine; a physiotherapist buys a computer to service the reception desk);

as an entrepreneur - when the contract was directly related to the business and was of a professional nature (e.g. owner of a café buys a coffee machine; an IT specialist purchases computer equipment).
What rights are there for the entrepreneur-consumer
An individual entrepreneur who performs a transaction which is directly related to the conducted business activity, but not of a professional nature, will be entitled to the following rights:

The right to withdraw from a distance contract (Article 27-38 of the Act of 30 May 2014 on consumer rights; consolidated text in Journal of Laws of 2020, item 287). The entrepreneur-consumer, when purchasing goods remotely (mainly via the Internet) or outside the seller's premises, will be able to withdraw from the contract within 14 days without giving any reason and the only costs to be borne are those of returning the goods.

Warranty rights specific to consumers (Articles 5561–576 of the Civil Code). The provisions which regulate the warranty for physical and legal defects will apply to an entrepreneur-consumer to a similar extent to which they apply to the consumer (this includes, among others, a longer warranty period and the presumption of the existence of a defect at the time of purchase).

The facility to avoid abusive clauses (Art. 3851–3853 of the Civil Code). If the contractual provisions are not individually agreed with the entrepreneur-consumer which shape their rights and obligations in a manner that is inconsistent with good manners, grossly violating their interests, such provisions will not be binding.
The conclusion
When concluding a contract with an entrepreneur who runs a sole proprietorship, it is worth remembering to verify the subject of their professional activity. Thus the seller or the service provider will be able to assess whether or not the subject of the contract falls within the scope of a professional activity of the counterparty and whether such an entrepreneur will be entitled to special rights referred to above in a given transaction.
Przedsiębiorca jak konsument – dla kogo nowe przywileje
1 stycznia 2021 r. wejdzie w życie nowelizacja Kodeksu cywilnego dająca w niektórych sytuacjach przedsiębiorcom prowadzącym jednoosobową działalność gospodarczą przywileje konsumenta. Przedsiębiorca taki będzie traktowany jak konsument w razie dokonywania transakcji niezawodowej.
Przepisy nowelizujące kodeks cywilny w zakresie ochrony konsumenckiej dla przedsiębiorców prowadzących jednoosobową działalność gospodarczą zostały uchwalone ustawą z 31 lipca 2019 r. o zmianie niektórych ustaw w celu ograniczenia obciążeń regulacyjnych (Dz.U. z 2019 r. poz. 1495). Zmieniają one kodeks cywilny w zakresie stosowania klauzul abuzywnych i rozszerzonej rękojmi za wady, jak i ustawę o prawach konsumenta (t.j. Dz.U. z 2019 r. poz. 134) w zakresie prawa do odstąpienia od umowy zawartej poza lokalem przedsiębiorstwa lub na odległość.
Pierwotnie zmiany miały wejść w życie 1 czerwca 2020 r., ale z powodu pandemii będą obowiązywały od 1 stycznia 2021 r.
Dla kogo ochrona
Uprawnienia charakterystyczne dla konsumentów będą przysługiwać indywidualnym przedsiębiorcom w przypadku dokonania przez nich transakcji niezawodowej, tj. zawarcia umowy w ramach prowadzonego przez siebie przedsiębiorstwa, która jednakże nie będzie dla nich miała charakteru zawodowego. Najczęściej będzie to miało miejsce w przypadku, gdy z treści umowy będzie wynikało, że jest ona wprawdzie zawierana w celach bezpośrednio związanych z prowadzoną działalnością gospodarczą, ale jednocześnie niemających charakteru zawodowego (przykłady poniżej). O tym, czy dana umowa miała dla danego przedsiębiorcy charakter zawodowy, decyduje przede wszystkim przedmiot działalności gospodarczej weryfikowalny przez wgląd w Centralnej Ewidencji i Informacji o Działalności Gospodarczej (CEIDG). Jeśli umowa mieści się w sferze wykonywanej działalności gospodarczej, przedsiębiorcy nie będą przysługiwać uprawnienia konsumenckie.
Po wejściu w życie nowelizacji indywidualny przedsiębiorca będzie mógł zatem występować w dwóch rolach:
Jakie uprawnienia dla przedsiębiorcy-konsumenta
Indywidualnemu przedsiębiorcy dokonującemu transakcji bezpośrednio związanej z prowadzoną działalnością gospodarczą, lecz niemającej charakteru zawodowego, przysługiwać będą następujące uprawnienia:

Prawo do odstąpienia od umowy zawartej na odległość (art. 27‒38 ustawy z 30 maja 2014 r. o prawach konsumenta; t.j. Dz.U. z 2020 r. poz. 287). Przedsiębiorca-konsument dokonując zakupu towaru na odległość (głównie przez Internet) lub poza lokalem przedsiębiorstwa sprzedawcy będzie mógł w terminie 14 dni odstąpić od umowy bez podawania przyczyny, a jedyne koszty jakie będzie musiał ponieść to koszty zwrotu rzeczy.

Uprawnienia z tytułu rękojmi charakterystyczne dla konsumentów (art. 5561–576 k.c.). Do przedsiębiorcy-konsumenta znajdą zastosowanie przepisy regulujące rękojmię za wady fizyczne i prawne w podobnym zakresie, w jakim znajdują zastosowanie do konsumenta (chodzi tutaj m.in. o dłuższy okres rękojmi oraz domniemanie istnienia wady w chwili zakupu).

Możliwość uchylenia się od klauzul abuzywnych (art. 3851–3853 k.c.). Jeśli postanowienia umowne nieuzgodnione indywidualnie z przedsiębiorcą-konsumentem kształtują jego prawa i obowiązki w sposób sprzeczny z dobrymi obyczajami, rażąco naruszając jego interesy, to takie postanowienia nie będą go wiązać.
Co z tego wynika
Warto pamiętać, by przy zawieraniu umowy z przedsiębiorcą prowadzącym jednoosobową działalność gospodarczą zweryfikować przedmiot jego działalności zawodowej. W ten sposób sprzedający lub usługodawca będą mogli ocenić, czy przedmiot umowy mieści się w charakterze zawodowym kontrahenta czy nie i czy w ramach danej transakcji takiemu przedsiębiorcy przysługiwać będą szczególne uprawnienia, o których mowa wyżej.
