News regarding the register of beneficial owners

With regard to the Anti-Money-Laundering (AML) initiative of the European Union, we informed you in Spring 2018 about measures adopted by the Czech Republic, in particular about the obligation to register the beneficial owners of entities into the register of beneficial owners, pursuant to the IV. AML Directive (EU) 2015/849 (the IV. Directive).

Meanwhile, the V. AML Directive (EU) 2018/843 (the Directive) which changes the IV. Directive has been adopted, whereas the Member States were obliged to implement it into their national legal systems no later than by 10 January 2020. The Czech Republic intends to implement changes into a separate Act on the register of beneficial owners (the Act or Draft Act), which should come into effect no sooner than at the beginning of 2021. As the legislative procedure regarding adoption of the Act in the Czech Republic is still ongoing, material changes of the Act can also be expected; however, these should be based on the requirements of the Directive. 

Here, we summarise the main changes resulting from the Directive and the Draft Act.

The main changes concerning the register of beneficial owners

Crucial is article 30 of the Directive, which creates an obligation for corporate and other legal entities"...to obtain and hold adequate, accurate and current information on their beneficial ownership", whereas breach of this obligation will be subject to "effective, proportionate and dissuasive measures or sanctions. (…) Member States shall require holding the information in a central register, for example in the commercial register or in another public register." This provision implies a number of requirements for the implementation of the Directive into the Act.

The main changes introduced by the Directive, which are also contained in the new Act, are: 

• clarification of the definition of a beneficial owner
• connecting the commercial register and register of beneficial owners
• enabling public access to the registered data
• change of the scope of the registered data
• adoption of proceedings for assessment of discrepancies between the registered data and reality, and
• sanctions.

Definition of a beneficial owner

The beneficial owner according to the Draft Act will always be a natural person who has significant profit from the overall activity or liquidation of the legal entity or its management, and that profit is not handed over to another person (the ultimate beneficiary); or who is, without instructions from someone else, on the basis of its own inner considerations, able to, directly or indirectly, exert dominant influence on the legal entity (the person with ultimate influence).

On the contrary, the Directive defines a beneficial owner as a natural person who ultimately owns or controls a legal entity, by a sufficient percentage of the shares or voting rights or an ownership interest in that entity, or through control via other means.

The Draft Act considers the terms "ultimate influence" and "ultimate beneficiary" as separate legal prerequisites, while the Directive uses the terms ownership and control interchangeably and considers both only as definitional features of beneficial ownership. This means that if the Czech concept (unless further revised in the legislative process) leads to the splitting-up of the beneficial owner to one person exerting control and to another person (different from the first one) having ultimate profit from that, it is (pursuant to the legal opinion of the Ministry of Justice) necessary to register both of these beneficial owners into the register.

The Draft Act contains presumptions and indicators of beneficial ownership:

• a presumption that the ultimate recipient is any natural person holding a share in the profit or in other own sources of more than 25%
• a presumption that the person exerting ultimate influence is any controlling entity pursuant to Sections 74 to 75 of Act no. 90/2012 Coll., on Commercial Companies and Cooperatives (Business Corporations Act); to fulfil this, it is generally required to have a minimum of a 40% share of voting rights, if another shareholder does not have the same or an even higher share
• an indication of a person exerting ultimate influence conveys a share of voting rights or registered capital of the corporation of more than 25%, particularly if his/her share exceeds significantly the shares of other persons.

While the share of more than 40% of the voting rights triggers the presumption of person exerting ultimate influence (unless proved otherwise), when the share is lower than 40 %, it is necessary to consider other criteria/indications, like for example size of a share of other shareholders (for instance share of 28% does not mean beneficial ownership, if a different shareholder has a share of more than 50%). In this respect, we anticipate further clarification from the legislators.

The Draft Act also determines rules for establishing the beneficial owners of complex ownership structures by using the newly established terms of "chaining" and "branching". Chaining means gaining profit or exerting influence through other persons (or relationships) connected successively (for example, a natural person F controls a company A, A controls B, and B controls C). Branching means gaining profit or exerting influence through several individual chainings (for example, F controls companies A and B. A controls C, and B controls D. C and D together control E). The Draft Act provides parameters for the sometimes complicated calculation of relevant shares.

As is the case under the current regime, if a beneficial owner cannot be determined even by making every possible effort, or if a beneficial owner is a legal entity that does not have a beneficial owner (eg the state, a legal entity established by law, in particular a chamber, or an association of unit owners, etc), a person or persons in the top management (usually executives or members of the board of directors) will be registered as the beneficial owner(s). However, even in such a case, the given entity is obliged to submit steps taken to identify the beneficial owner.

Connecting commercial register and register of beneficial owners

The Draft Act introduces in certain situations a principle of automatic copying of data registered in the commercial register (Sec. 38). Therefore, the following natural person must not submit data to the register, because they will be submitted automatically in the following scenarios:

• natural person is a shareholder with a share greater than 25% in a limited liability company or the beneficial owner of a legal entity, which is a shareholder in the limited liability company with a share greater than 25 %
• natural person is the sole shareholder in a joint stock company or the beneficial owner of a legal entity who is the sole shareholder in the joint stock company.

If a change in the public register occurs, such change will also have effect in the register of beneficial owners. However, if the data do not correspond to reality – for example, there is another, different beneficial owner whose position is not reflected in the commercial register – the responsible entity shall submit the beneficial owner to the register. 

Enabling public access to the registered data

A significant change is the implementation of public access to the register of beneficial owners. The Directive and also the Draft Act provide for making available the information relating to who the beneficial owner is, or whether the company did not register its beneficial owner, including making available the nature and extent of participation of the beneficial owner.

As a consequence the Draft Act enables anyone to acquire a partial data extract on the beneficial owner of a legal entity and facts establishing his/her position, including a description of the ownership structure.

Change of the scope of registered data

Newly, an ownership structure has to be submitted, by which an ultimate control is exerted or by which ultimate recipient gains profit. Unlike under existing practise, when the claim of the applicant regarding facts establishing the position of beneficial owner was sufficient to register the beneficial owner successfully, under the new Act it will be necessary to prove facts on which the claim of beneficial ownership is founded, including through a description of the ownership structure, and that, for example, by a shareholders' agreement on the exercise of voting rights, by the register of shareholders, etc.

Given that according to the Directive and the Draft Act, control may be carried out also via other means – eg by any juridical or factual acts, exerting influence based on a personal relationship or a debtor relationship is possible.

Adoption of proceedings for assessment of discrepancies between the registered data and reality

The discrepancy proceeding can be initiated by a public authority, by an obliged entity pursuant to Act No. 253/2008 Coll., on selected measures against the legitimisation of the proceeds of crime and financing of terrorism (for example banks, financial institutions, auditors, tax advisers, notaries, attorneys at law, etc) or by the court ex officio. If the court finds any discrepancy, it issues an invitation to remove the discrepancies or initiates the discrepancy proceeding after futile expiration of the time limit for removal of the discrepancy.

It is at any time possible to register the beneficial owner into the register of beneficial owners even during a discrepancy proceeding. If the record is not corrected, the commercial register court will decide on discrepancy. A fine can be imposed in the administrative proceedings only after the coming into force of a decision on discrepancy or after a futile expiry of a provided time limit to correct the record, if the data were not submitted at all.

Sanctions/penalties

Current legislation

Even today, it is possible to find in the Czech legal order possible sanctions that could be (theoretically) imposed for not registering the beneficial owner into the register of beneficial owners or for submitting an untrue record of the beneficial owner:

• Obligation to register data about the beneficial owner into the register of beneficial owners follows from Section 118e para 2 of Act No. 304/2013 Coll., on Public Registers of Legal entities and Natural Persons, and on the Trust Funds Register, which requires registering the beneficial owner data without any delay after the decisive fact arose. According to Sec. 9 para 2 lit. a) Clause 2 of the Act No. 251/2016 Coll., on Some Administrative Offences, a fine of up to CZK 100,000 (EUR 4,000) might be imposed for this offence. According to our experience, this obligation is not being enforced so far in practice.
• Entrepreneurs are obliged to prove that they registered a beneficial owner when participating in the awarding of a public contract, obtaining a licence, or when submitting an application for a subsidy. For example, if a participant in the procurement procedure of a public contract does not respond to a request of the contracting authority and does not submit this information, it will be removed from the procurement procedure. At the same time, it is necessary to disclose the beneficial owner (eventually to have a beneficial owner registered) in order to participate in a number of subsidy programmes.

Future legal regulation

Although this is only a draft, it can be anticipated that in accordance with the requirements of the Directive failure to register beneficial owners into the register will be sanctioned. Sanctions according to the Draft Act for failure of registering the beneficial owner are the following:

• rights and obligations from juridical acts (between a beneficial and fictional owner) that conceal the beneficial owner, which arose in time when the beneficial owner was not registered in the register of beneficial owners, are unenforceable (here belong all actions by which the unregistered beneficial owner exerts ultimate influence or gains profit through other person; for example, if the profit is paid out to a shareholder as to a fictional beneficial owner, and it hands the profit over to the unregistered beneficial owner)
• exclusion from voting of the beneficial owner or other persons, if there is the same beneficial owner acting through the said people, on the general meeting of the corporation, if the beneficial owner is not registered in the register of beneficial owners or if the shareholder of the respective corporation does not have any registered beneficial owner
• prohibition to pay out a share of profit of a company that does not have a registered beneficial owner, to the beneficial owner or to an entity with the same beneficial owner, or to other legal entities which do not have a registered beneficial owner in the register of beneficial owners
• at the same time, according to the Draft Act, failure to register the beneficial owner or registering the wrong data is an offence, for which the responsible entity (or the beneficial owner, if it does not provide any cooperation in identifying who the beneficial owner is) is liable for a fine of up to CZK 500,000 (EUR 20,000); however, this is only after a court found a discrepancy or after a vain expiration of a time limit provided by the court to remedy the discrepancy (prior to the initiation of proceedings).
• We expect further clarification from the legislators also regarding these measures, because the current sanction mechanisms in the Draft Act cannot prevent pay out of profit to a shareholder who functions in reality only as an intermediary of the beneficial owner and subsequently hands the profit over to the beneficial owner.

Recommendation

The legal entities are already obliged to register their beneficial owners. With the coming into force of the new Act, this obligation will be all the more urgent because non-compliance with the Act will imply discouraging sanctions. 

Companies that have already registered their beneficial owners in time prior to the Act are obliged to bring the registered data into compliance with requirements of the Act (including all required documents by law) within 6 months from the date of entry into force of the Act.

The Act applies immediately from the date of its entry into force to companies that have not yet registered their beneficial owners.

Other entities are obliged to register within 6 months to 1 year.

Novinky z oblasti evidence skutečných majitelů

V souvislosti s Anti-Money-Laundering (AML) iniciativou Evropské unie jsme Vás na jaře 2018 informovali o opatřeních přijatých Českou republikou, především o povinnosti zapisování skutečných vlastníků entit do rejstříku skutečných majitelů na základě tzv. IV. AML Směrnice (EU) 2015/849 (dále jen IV. Směrnice).

Mezitím byla přijata V. AML Směrnice (EU) 2018/843 (dále jen Směrnice), kterou se mění IV. Směrnice, přičemž členské státy měly povinnost ji transponovat do vnitrostátních právních řádů nejpozději do 10. ledna 2020. Česká republika zamýšlí změny implementovat do samostatného zákona o evidenci skutečných majitelů (dále jen Zákon resp. také Návrh zákona), který by měl nabýt účinnosti na začátku roku 2021. Jelikož legislativní proces v České republice ještě probíhá, lze očekávat i řadu věcných úprav ve znění Zákona, které by však také měly vycházet z požadavků Směrnice.

Níže přehledně shrnujeme hlavní změny, které vyplývají ze Směrnice a z Návrhu zákona.

Hlavní změny týkající se evidence skutečných majitelů

Klíčový je článek 30 Směrnice, který stanovuje společnostem a jiným právnickým osobám „povinnost získat a mít adekvátní, přesné a aktuální informace o svém skutečném majiteli“, přičemž porušení této povinnosti bude podléhat „účinným, přiměřeným a odrazujícím opatřením nebo sankcím. Členské státy mají povinnost zajistit, aby informace byly v každém členském státě uchovávány v centrálním registru, například v obchodním rejstříku nebo jiném veřejném rejstříku. Z tohoto ustanovení pak vyplývá řada požadavků na implementaci Směrnice do Zákona.

Hlavní změny, které Směrnice přináší a které jsou tedy i předmětem nového Zákona, jsou: 

• další vymezení pojmu skutečného majitele
• propojení obchodního rejstříku a evidence skutečných majitelů
• umožnění veřejného přístupu k údajům v evidenci
• změna rozsahu evidovaných skutečnosti
• zavedení řízení při rozporu zapsaného stavu a skutečnosti
• sankce. 

Vymezení pojmu skutečného majitele

Skutečným majitelem podle Návrhu zákona je vždy fyzická osoba, která má z celkového prospěchu tvořeného při činnosti nebo likvidaci právnické osoby významný prospěch a tento prospěch dále nepředává (koncový příjemce prospěchu) nebo která může bez pokynů jiného na základě své vnitřní úvahy přímo nebo nepřímo uplatňovat rozhodující vliv v právnické osobě (osoba uplatňující koncový vliv). 

Směrnice naopak vymezuje pojem skutečného majitele jako fyzickou osobu, která v konečném důsledku vlastní nebo kontroluje právnickou osobu, tj. ten, kdo má odpovídající podíl na základním kapitálu nebo hlasovacích právech nebo vykonává kontrolu nad obchodním vedením společnosti jinými prostředky. 

Návrh zákona používá pojmy „koncový vliv“ a „koncový příjemce“ jako dvě samostatné skutkové podstaty, zatímco Směrnice vlastnictví a kontrolu volně zaměňuje a vnímá oba aspekty pouze jako definiční znaky skutečného majitele. Pokud tedy český koncept (nedojde-li ještě ke změně) vede k rozštěpení skutečného majitele na osobu vykonávající kontrolu a osobu mající z toho koncový prospěch, je nutné (podle důvodové zprávy k Návrhu zákona) zapsat obě osoby jako skutečné majitele do evidence skutečných majitelů.  

Návrh zákona dále pracuje s domněnkami a indiciemi: 

• domněnka, že koncovým příjemcem je fyzická osoba, která má právo na podíl na zisku nebo na jiných vlastních zdrojích větší než 25%
• domněnka, že osobou uplatňující koncový vliv je ovládající osoba ve smyslu §§ 74 a 75 zákona č. 90/2012 Sb., o obchodních společnostech a družstvech (zákon o obchodních korporacích); k tomu je zpravidla vyžadován minimálně 40% podíl na hlasovacích právech, pokud další společník nemá stejný nebo vyšší podíl
• indicií osoby uplatňující koncový vliv je podíl na hlasovacích právech nebo na základním kapitálu obchodní korporace větší než 25%, zejména převyšuje-li významně podíly na vlivu ostatních osob. 

Zatímco při podílu na hlasovacích právech větším než 40% se uplatní domněnka uplatnění koncového vlivu (nebude-li prokázán opak), při podílu pod 40% bude k takovému závěru potřeba zohlednit další okolnosti/indicie, jako např. velikost podílů ostatních společníků (např. 28% podíl nezakládá skutečné vlastnictví, pokud další společník má přes 50%). V tomto ohledu předpokládáme ještě bližší objasnění ze strany zákonodárce. 

Návrh zákona stanovuje také pravidla pro určení skutečných majitelů komplexních vlastnických struktur, a to pomocí nově zavedených pojmů řetězení a větvení. Řetězením se rozumí získávání prospěchu nebo uplatňování vlivu prostřednictvím na sebe postupně navázaných osob nebo vztahů (např. fyzická osoba F ovládá společnost A, A ovládá B a B ovládá C). Větvením se naproti tomu rozumí získávání koncového prospěchu nebo uplatňování koncového vlivu prostřednictvím více jednotlivých řetězení (např. F ovládá společnosti A a B. A ovládá C a B ovládá D. C a D ovládají dohromady E). Návrh zákona stanoví parametry někdy komplikovaného výpočtu příslušných podílů.

Stejně jako za stávající úpravy platí, že v případě, že skutečného majitele nelze určit ani při vynaložení veškerého úsilí, resp. je-li koncovým příjemcem prospěchu nebo osobou uplatňující koncový vliv právnická osoba, která nemá skutečného majitele (např. stát, právnická osoba zřízená zákonem jako např. komory, společenství vlastníků jednotek atd.), zapíší se jako skuteční majitelé osoby ve vrcholném vedení (tedy zpravidla jednatelé nebo členové představenstva). I v takovém případě je však povinností evidující osoby doložit a odůvodnit kroky učiněné ke zjištění skutečného majitele. 

Propojení obchodního rejstříku a evidence skutečných majitelů

Návrh Zákona zavádí ve stanovených případech princip automatického propisování skutečného majitele z obchodního rejstříku (§ 38 návrhu Zákona). Následující fyzické osoby tedy nemusí být zapisovány do evidence skutečných majitelů: 

• společník s právem na podíl větším než 25% ve společnosti s ručením omezeným nebo skutečný majitel právnické osoby, která je společníkem společnosti s ručením omezeným s právem na podíl větším než 25%
• jediný akcionář akciové společnosti nebo skutečný majitel právnické osoby, která je jediným akcionářem akciové společnosti.

Dojde-li v obchodním rejstříku ke změně mající vliv na pozici skutečného majitele, projeví se změna i v evidenci skutečných majitelů. Neodpovídají-li však propisované údaje údajům o skutečném majiteli (např. je-li zde další skutečný majitel, jehož pozice není ve veřejném rejstříku zachycena), je zápis skutečného majitele do evidence povinna zajistit společnost jako evidující osoba.

Umožnění veřejného přístupu k údajům v evidenci

Podstatnou změnou je zavedení veřejného přístupu k informacím o skutečném majiteli společností. Směrnice a Návrh zákona počítají se zpřístupněním informací o skutečných majitelích, resp. vydáním potvrzení o tom, že v evidenci skutečných majitelů není (o právnické osobě nebo právním uspořádání) veden žádný údaj, včetně zveřejnění povahy a rozsahu účasti skutečného majitele. 

V důsledku toho umožnuje Návrh zákona „komukoliv“ získat částečný výpis údajů o skutečném majiteli právnické osoby a o skutečnostech zakládajících jeho postavení včetně popisu struktury vztahů. 

Změna rozsahu evidovaných skutečností

Nově se bude zapisovat povinně také struktura vztahů, kterými je uplatňován koncový vliv nebo koncový příjemce získává prospěch. Na rozdíl od dosavadní praxe, kdy k úspěšnému zápisu skutečného majitele zpravidla stačilo tvrzení o skutečnostech zakládajících postavení skutečného majitele, bude s účinností Zákona nutno prokázat skutečnosti zakládající skutečné vlastnictví, včetně popisu struktury vztahů, a to např. dohodami o výkonu hlasovacích práv, seznamem akcionářů, atd. 

S ohledem na to, že dle Směrnice a Návrhu zákona může být kontrola vykonávána i jinými prostředky, tzn. jakýmkoliv právním i faktickým jednáním, je myslitelné ovlivnění i na základě osobního, resp. dlužnického vztahu. 

Zavedení řízení při rozporu zapsaného stavu a skutečnosti

Tzv. řízení o nesrovnalosti může být zahájeno na podnět orgánu veřejné moci, povinné osoby (podle zákona č. 253/2008 Sb., o některých opatřeních proti legalizaci výnosů z trestné činnosti a financování terorismu, tj. např. banky, finanční instituce, auditoři, daňoví poradci, notáři, advokáti, atd.) nebo z úřední moci soudu, je-li soudem zjištěna nesrovnalost mezi zapsaným stavem a skutečností. Soud vydá v tomto případě výzvu k odstranění nesrovnalosti nebo po marném uplynutí lhůty k nápravě zahájí řízení o nesrovnalosti. Nápravu nesrovnalosti provedením zápisu skutečného majitele do evidence lze provést kdykoliv i během běžícího řízení o nesrovnalosti. Nedojde-li k nápravě, rozhodne rejstříkový soud o nesrovnalosti. Pokutu ve správním řízení lze uložit teprve po právní moci rozhodnutí o nesrovnalosti nebo po marném uplynutí lhůty k nápravě nesrovnalosti v případě, že údaje o skutečném majiteli nebyly do evidence zapsány vůbec.

Sankce/pokuty

Současná právní úprava

Již podle současné právní úpravy lze nalézt v českém právním řádu možné sankce, které by se (teoreticky) mohly uplatnit i na neprovedení zápisu nebo nepravdivý zápis skutečného majitele: 

• Povinnost zapsat údaje o skutečném majiteli do evidence skutečných majitelů vyplývá z § 118e odst. 2 zákona č. 304/2013 Sb., o veřejných rejstřících právnických a fyzických osob a o evidenci svěřenských fondů, který požaduje zápis skutečného majitele bez zbytečného odkladu po vzniku rozhodné skutečnosti, ve spojení s § 9 odst. 2 písm. a) ř. 1 zákona č. 251/2016 Sb., o některých přestupcích, za což při nesplnění povinnosti může být uložena pokuta až do výše 100.000,- Kč (EUR 4.000,-). Tato povinnost není dle našich informací doposud prakticky vymáhána.
• Podnikatelé jsou povinni dokládat osobu skutečného majitele při účasti na veřejných zakázkách, získávání licencí nebo při žádosti o dotace. Pokud například účastník výběrového řízení o veřejnou zakázku na výzvu zadavatele nedoloží tyto informace, bude z výběrového řízení vyloučen. Stejně tak je doložení skutečného majitele, popř. zápis skutečného majitele v evidenci podmínkou pro účast v celé řadě dotačních programů. 

Budoucí právní úprava

Ačkoliv se jedná pouze o návrh, lze očekávat, že neprovedení zápisu, respektive realizace nepravdivého zápisu skutečného majitele, bude v souladu s požadavky Směrnice sankcionováno. Návrh zákona upravuje následující sankce: 

• práva a povinnosti z právního jednání (mezi skutečným a fiktivním majitelem), které zastírá osobu skutečného majitele, které vznikly v době, kdy není skutečný majitel zapsán v evidenci skutečných majitelů, nelze vymáhat (pod tento případ spadají jednání, kterými nezapsaný skutečný majitel uplatňuje koncový vliv nebo získává prospěch prostřednictvím jiné osoby, např. pokud zisk bude vyplacen společníkovi jako fiktivnímu skutečnému majiteli a ten předá zisk nezapsanému skutečnému majiteli)
• vyloučení hlasovacího práva skutečného majitele nebo osob, za kterými stojí stejný skutečný majitel, na valné hromadě obchodní korporace, pokud skutečný majitel korporace není zapsán v evidenci nebo pokud společník příslušné korporace nemá zapsaného žádného skutečného majitele
• zákaz výplaty podílu na zisku u společnosti, která nemá zapsaného skutečného majitele, a to skutečnému majiteli nebo jiným osobám, jejichž je tento skutečný majitel rovněž skutečným majitelem, nebo osobám, které nemají v evidenci zapsaného žádného skutečného majitele
• současně je podle Návrhu zákona nezapsání skutečného majitele nebo zapsání nesprávných údajů přestupkem, za který hrozí evidující společnosti (nebo skutečnému majiteli, pokud neposkytne součinnost při zjišťování skutečného majitele) pokuta až 500.000,- Kč  (EUR 20.000,-); to však až na základě soudem zjištěné nesrovnalosti nebo po marném uplynutí soudem stanovené lhůty k odstranění nesrovnalosti (před zahájením řízení).

Také v tomto případě ještě očekáváme objasnění ze strany zákonodárce, protože stávající sankční mechanismy v Návrhu zákona nemohou zabránit výplatě zisku společníkovi, který funguje pouze jako prostředník skutečného majitele a zisk následně předává tomuto skutečnému majiteli. 

Doporučení

Již nyní existující povinnost zapsat skutečného majitele bude s účinností Zákona ještě urgentnější, protože při nedodržení Zákona budou ukládány odrazující sankce. 

Společnosti, které splnily povinnost zapsat skutečného majitele již před účinností Zákona, budou povinny uvést zapsané údaje do souladu s požadavky Zákona do 6 měsíců ode dne nabytí účinnosti Zákona. 

Na společnosti, které k datu účinnosti Zákona zatím neprovedly zápis skutečného majitele, se Zákon aplikuje bez přechodného období ihned od data účinnosti. 

Ostatní právnické osoby jsou povinny provést zápis ve lhůtách 6 až 12 měsíců.
