Are you planning to enter into an arrangement with your creditors? If this is the case, it is advisable to have submitted your application for a reorganisation plan to the tax authorities before 1 October 2023.
Under a creditors' arrangement, a company enters into an agreement with its creditors to restructure its debts to those creditors. In almost all cases, there will also be debts to the tax authorities and it will therefore be necessary to ask the tax authorities to agree to the arrangement. One of the conditions imposed by the tax authorities for their approval is that the tax authorities receive at least twice the payout percentage compared to the payout percentage offered to the unsecured creditors.
Due to the Corona crisis, the tax authorities are taking a more lenient approach to this condition until 1 October 2023. Until 1 October 2023, the tax authorities will accept the same payout percentage as the percentage that the other (unsecured) creditors will receive under the arrangement. After this date, the condition that the tax authorities want to receive at least twice the percentage applies again. The more lenient arrangement therefore increases the chances of a successful arrangement.
Do you still want to benefit from this arrangement? You have until 1 October 2023 to submit your restructuring application to the tax authorities. Is the application not yet complete? Then you will have another 90 days to complete the application. This period can be extended by a further 30 days.
If creditors do not want to agree to an arrangement, debtors may be able to invoke the Dutch Act On Court Confirmation of Extra Judicial Restructuring Plans, which allows debtors to impose an arrangement on its creditors under certain conditions.
Bied Bied vóór 1 oktober 2023 uw schuldeisersakkoord aan bij de belastingdienst
Heeft uw onderneming schulden en bent u van plan om op korte termijn een schuldeisersakkoord aan te bieden? Dan is het verstandig om uw saneringsverzoek vóór 1 oktober 2023 bij de belastingdienst te hebben ingediend.
Met een schuldeisersakkoord maakt een onderneming afspraken met haar crediteuren om de schulden aan deze crediteuren te saneren. In bijna alle gevallen zullen ook schulden aan de belastingdienst bestaan en zal het dus ook nodig zijn om de belastingdienst te verzoeken om in te stemmen met het akkoord. Eén van de voorwaarden die de belastingdienst stelt voor haar instemming is dat de belastingdienst ten minste het dubbele uitkeringspercentage ontvangt ten opzichte van het uitkeringspercentage dat aan de concurrente crediteuren wordt aangeboden.
Vanwege de coronacrisis gaat de belastingdienst tot en met 1 oktober 2023 soepeler om met deze voorwaarde. De belastingdienst neemt tot 1 oktober 2023 genoegen met hetzelfde uitkeringspercentage als het percentage dat door de andere (concurrente) crediteuren onder het akkoord zal worden ontvangen. Daarna geldt weer de voorwaarde dat de belastingdienst ten minste het dubbele percentage wenst te ontvangen. De soepelere regeling vergroot dus de kans op een succesvol akkoord.
Wilt u nog gebruik maken van deze regeling? Dien uw saneringsverzoek dan vóór 1 oktober 2023 bij de belastingdienst in. Is het verzoek nog niet compleet? Dan krijgt u nog 90 dagen de tijd geven om het verzoek aan te vullen. Deze periode kan nog één keer worden verlengd met 30 dagen.
Mochten crediteuren niet met uw schuldeisersakkoord willen instemmen, dan kunt u mogelijk een beroep doen op de Wet Homologatie Onderhands Akkoord, waarmee, onder bepaalde voorwaarden, een akkoord dwingend kan worden opgelegd aan de crediteuren.
