We have acted on Centralis's acquisition of Admina Fund Services, a group providing integrated fund administration and company secretarial services in the Channel Island of Guernsey.
Centralis, a global leading alternative asset and corporate services provider headquartered in Luxembourg, further strengthened its already broad service offering through this acquisition by expanding its funds administration capability and gaining a strategic new position in the Channel Islands.
This was our second transaction for Centralis in 2024. In August, we advised Centralis on its acquisition of Oakford Advisors, a growing outsourced service provider based in multiple locations in the UK.
Oakford provides specialist services focused on alternative fund clients, thereby complimenting Centralis’ existing service offering. The strategic acquisition will allow both group's clients and teams to have the benefit of accessing the growing Centralis global service capabilities.
Both deals were structured as split signing and completion, with regulatory consent in Guernsey being one of the conditions to completion of the Admina Fund transaction. Carey Olsen advised on the Guernsey specific aspects of that transaction.
Our team was led by partner Ed Waldron in the private equity group and also included Angela Petrevska (senior associate) and Joseph Miller (associate). On the Oakford Advisors transaction, the wider team included Liz Wilson (partner) and Bridget Winters (senior counsel) in the tax team.
