The UK Qualifying Asset Holding Company (QAHC) regime, effective from 1 April 2022, was a significant development in the UK's asset management landscape. Designed to enhance the UK's attractiveness as a hub for investment management, the QAHC regime offers multiple compelling benefits for investment managers and professional investors.
We have been structuring a number of private fund structures for our clients over the last 12 months or so, which utilise the QAHC as an investment intermediary company between the main fund vehicle (limited partnership) and the underlying (private credit) assets. Given the purpose and benefits of the QAHC, this advice has necessitated drawing on expertise from across our private funds, tax and finance teams.
Summary of the key features of the QAHC
- Tax efficiency: it enables income and gains to be returned to investors in the fund in an efficient manner with minimal tax leakage.
- Flexibility for investors: allows for greater flexibility in structuring investments, providing an efficient vehicle for pooling capital and managing assets across various jurisdictions – a single QAHC can be used as a blocker for all assets held by the fund, or numerous QAHCs can be interposed in the structure to group/separate certain underlying assets or to separate holdings among different parallel fund vehicles above.
- Eligibility criteria: companies must meet specific conditions, including being at least 70% controlled by qualifying investors such as large institutional investors or entities managing substantial investments.
- Enhanced regulatory environment: the regime is supported by robust regulatory oversight, fostering transparency and compliance with international standards.
We are seeing strong client interest from investment managers in using the QAHC regime for their holding companies, either on an overall basis or a case-by-case basis, and this increased interest is supporting the UK as a jurisdiction for global investment activities in providing helpful tax advantages and operational flexibility.
