We have advised United Fintech on English law aspects of its acquisition of Commercial Banking Applications AS (CBA), a leading banking technology provider specialising in API-driven trade finance and payments solutions based in Norway, and on an equity financing led by existing investors in connection with the acquisition.
We worked alongside Danish law firm Bruun & Hjejle and Norwegian law firm Selmer.
This marks United Fintech's first foray into the commercial banking sector, with CBA providing services to banks mainly across Europe and Asia. Dutch banking giant ABN AMRO is one of its major clients. The acquisition aims to strengthen United Fintech's offering on automation, efficiency, and security for commercial banks worldwide, ensuring they can seamlessly integrate innovative fintech solutions.
The acquisition was financed by both equity and debt from existing investors. Existing investors include four major banks: BNP Paribas, Citi, Danske Bank, and Standard Chartered.
