Advising on the sale of Redscan Cyber Security to Kroll

We have advised the sellers on the sale of Redscan Cyber Security to Kroll, the world’s premier provider of services and digital products related to governance, risk and transparency.

Redscan is recognised for its high-quality services, including its proprietary cloud native MDR solution which correlates events and intelligence from an array of leading telemetry sources including those from VMWare Carbon Black, Crowdstrike, AlienVault and LogRhythm plus cloud providers such as AWS, Google Cloud, and Microsoft.

This transaction will expand Kroll's global capabilities to support a wider array of cloud and on-premise telemetry sources.

It is another example of the firm's expertise in advising on the sale of founder backed businesses in particular in technology focused solutions and it drew on deep expertise from across the firm's M&A, Employment, Commercial Technology and Data, Real Estate, Tax and Incentives, IP & Media, and Pension teams.

Commenting on the deal, Partner and Head of the Corporate and M&A group Emma Danks, said: "This sale enables the Redscan business to build fantastic value in the cyber security market. We continue to work with the most ambitious, innovative businesses such as Redscan, and we look forward to playing our part as it continues to grow."

Mike Fenton, CEO of Redscan, said: "Merging Redscan’s innovative culture and leading managed security services with Kroll’s unparalleled incident response experience and end-to-end cyber risk management capabilities allows us to provide a unique global offering. The team at Taylor Wessing was central in every step of the process and provided exceptional support to us."

Relationship and IP Partner Charles Lloyd, said: "It’s been great to help Redscan reach this significant juncture after seeing the business grow under Mike Fenton’s leadership over many years."

The team was led by Corporate M&A Partner Emma Danks, Senior Associate Alex Walker, Associate Laura Roberts, and Trainee Solicitor Alexander Stones.

Further support was provided by Employment Partner Sean Nesbitt, Associate Joe Aiston, Senior Counsel Vikki Wiberg, and Trainee Solicitor Ilana Granditer, Commercial Technology and Data Partner Sian Skelton, Senior Associate Kelly Burke, Associates Matthew Ives and Tamara Mackay-Temesy, Senior Advisor Sally Annereau, and Trainee Solicitor Shaun Brewster, Real Estate Partner Emma Oakley, Senior Associate Rhys Bufton, and Associate Joanna Bassett, Tax Partners Ann Casey, Anna Humphrey, and Graham Samuel-Gibbon, Associates Madison Lawler and Marianna Vlas, and Senior Counsel James Stewart, Disputes and Investigations Partner Andrew Howell and Senior Associate Georgina Jones, Financial Services & Competition Partner Paolo Palmigiano and Associate Katie Fry-Paul, IP & Media Senior Associate XuYang Zhu and Associate Nina Goodyear, Pension Senior Associate Georgina Wardrop, and Paralegal Sarah Palmer.

We worked in partnership with WSGR, whose team was led by Partner Stacy Kim.
