The arrival of the New Year for the Polish e-commerce market will mean a not inconsiderable revolution, although one that has been expected for some time. On January 1, 2023, the long-awaited regulations implementing the Directive of the European Parliament and of the Council (EU) 2019/2161 of November 27, 2019, known as the "Omnibus Directive", will come into force. According to the Omnibus Directive, member states had the time until May 28, 2022, to transpose the directive into national orders, so Poland remained in the group of countries that were late in adapting national laws to the new EU standards.
As a part of the implementation of the Omnibus Directive, amendments were made to, among other laws, the Law on Consumer Rights, the Law on Counteracting Unfair Market Practices and the Law on Information on Prices of Goods and Services. Although the scope of the amendments is not limited to provisions applicable only to the e-commerce industry, this industry will be the most affected by the changes. Below, we discuss selected areas of the new regulations relevant from the perspective of the e-commerce industry.
Information obligations
The intention of the EU legislator was to give a fillip to the strengthening of consumer protection by obliging member states to introduce the solutions envisaged by the Omnibus Directive in response to the growth of e-commerce. In this regard, the changes mainly concern the issue of providing information to consumers.
Prior to entry into force of the new rules, traders entering into distance contracts were required to provide certain information to consumers at the latest when they agreed to be bound by the contract. The new regulations modify the catalogue of this information. The changes include, inter alia, imposition of a requirement to inform consumers about certain online means of communication and about individual price adjustments based on automated decision-making, and removal of the requirement to inform the consumers about the trader's fax number.
Trading platforms
The new rules will also impact trading platforms. In line with Omnibus Directive, the amendments also introduce additional regulations for trading platforms. Among other things, they introduce definitions of online trading platforms and their providers. They also impose information obligations on such providers regarding the parameters that determine the placement of listings (assigning specific visibility to products or the weight given to search results), whether the seller has a trader status (based on relevant statements by the seller), the non-application of consumer protection laws in transactions with non-traders, and the sharing of consumer contract-related obligations between the seller and the platform provider.
Control of customer reviews
As a result of the implementation of the Omnibus Directive into Polish law, where the potential buyer has access to opinions of other customers, failure to provide information on whether and how the trader ensures that the published opinions come from consumers who have actually used or purchased the product will be considered misleading practice. Furthermore, claiming that the opinions actually come from people who purchased or used the product without the trader taking proportionate and reasonable steps to verify their origin will also be considered unfair market practice. The blacklist of unfair practices will also include posting or ordering another person to post false consumer opinions or recommendations, or distorting consumer opinions or recommendations to promote products.
Price information
The new regulations will also bring greater transparency to information about promotions. In the case of a price reduction, traders will be required to list the lowest price that was applied during the 30-day period before the reduction was introduced, in addition to the new price. It is worth noting that EU regulations restrict the obligation to inform consumers about prices to goods alone, while Poland requires that the same information standards be applied to prices of both goods and services, including online services.
Implementacja dyrektywy Omnibus. Nowe reguły w branży e-commerce.
Nadejście Nowego Roku dla polskiego rynku e-commerce będzie oznaczać niemałą, choć od jakiegoś czasu spodziewaną, rewolucję. 1 stycznia 2023 r. w życie wejdą długo oczekiwane przepisy implementujące dyrektywę Parlamentu Europejskiego i Rady (UE) 2019/2161 z dnia 27 listopada 2019 r. zwaną „dyrektywą Omnibus”. Zgodnie z dyrektywą Omnibus państwa członkowskie miały czas na transpozycję dyrektywy do porządków krajowych do dnia 28 maja 2022 roku, tak więc Polska była w gronie państw, które pozostawały spóźnione z dostosowaniem przepisów krajowych do nowych unijnych standardów.
W ramach implementacji dyrektywy Omnibus znowelizowane zostały m.in. w ustawa o prawach konsumenta, ustawa o przeciwdziałaniu nieuczciwym praktykom rynkowym oraz ustawa o informowaniu o cenach towarów i usług. Choć zakres nowelizacji nie jest ograniczony do przepisów mających zastosowanie tylko do branży handlu internetowego, to jednak ten sektor zostanie w największym stopniu dotknięty wprowadzanymi zmianami. W związku z tym poniżej omawiamy wybrane obszary nowych regulacji istotne z perspektywy branży e-commerce.
Obowiązki informacyjne
Zamiarem unijnego prawodawcy było nadanie impulsu do wzmocnienia ochrony konsumentów poprzez zobowiązanie państw członkowskich do wprowadzenia przewidzianych dyrektywą Omnibus rozwiązań stanowiących odpowiedź na rozwój handlu internetowego. W tym zakresie zmiany dotyczą w głównej mierze kwestii informowania konsumentów.
Dotychczas przedsiębiorcy zawierający umowy na odległość byli zobowiązani do przekazywania konsumentom najpóźniej w chwili wyrażenia zgody na związanie się umową określonych informacji. Nowe przepisy modyfikują katalog tych informacji. Zmiany dotyczą m.in. wprowadzenia obowiązku poinformowania o udostępnianiu określonych środków komunikacji online czy informowania o indywidualnym dostosowaniu ceny na podstawie zautomatyzowanego podejmowania decyzji, a także obejmują usunięcie wymogu informowania o numerze faksu przedsiębiorcy.
Platformy handlowe
Dodatkowe regulacje dotkną także same platformy handlowe. Polski ustawodawca w ślad za dyrektywą Omnibus wprowadził w tym celu m.in. definicje internetowych platform handlowych oraz ich dostawców. Nowe przepisy nakładają na takich dostawców obowiązki informacyjne dotyczące parametrów decydujących o plasowaniu ofert (przyznawaniu określonej widoczności produktom lub wagi nadawanej wynikom wyszukiwania), posiadania przez sprzedawcę statusu przedsiębiorcy (w oparciu o stosowne oświadczenia sprzedawcy), niestosowania przepisów prawa ochrony konsumentów w transakcjach z nie-przedsiębiorcami, a także podziału związanych z umowami konsumenckimi obowiązków między sprzedawcą a dostawcą platformy.
Kontrola opinii klientów
Za sprawą implementacji dyrektywy Omnibus do polskiego prawa do katalogu działań wprowadzających w błąd dodano zaniechanie podania informacji o tym, czy i w jaki sposób przedsiębiorca zapewnia, aby publikowane opinie pochodziły od konsumentów, którzy używali danego produktu lub go nabyli, jeżeli przedsiębiorca umożliwia dostęp do wystawionych przez konsumentów opinii. Ponadto, nieuczciwą praktyką rynkową będzie twierdzenie, że opinie pochodzą rzeczywiście od osób, które produkt nabyły lub go używały pomimo braku podjęcia przez przedsiębiorcę proporcjonalnych i uzasadnionych kroków w celu weryfikacji ich pochodzenia. Na czarnej liście nieuczciwych praktyk przewidziane zostało także zamieszczanie lub zlecenie zamieszczania innej osobie nieprawdziwych opinii lub rekomendacji konsumentów albo zniekształcanie opinii lub rekomendacji konsumentów w celu promowania produktów.
Informowanie o cenach
Nowe przepisy wprowadzą również większą transparentność w zakresie informowania o promocjach. W przypadku obniżenia ceny, obok nowej ceny przedsiębiorcy będą zobowiązani do podania najniższej ceny, która obowiązywała w okresie 30 dni przed wprowadzeniem obniżki. Warto zwrócić uwagę, że unijne przepisy zawężają obowiązek informowania o cenach do samych towarów, podczas gdy w Polsce przewidziano te same standardy informowania o cenach zarówno towarów jak i usług, w tym usług online.
