Taylor Wessing advised Art of Mobility S.A. on the intended acquisition of KTM AG's 50.1% stake in the Italian cult motorcycle brand MV Agusta Motor S.p.A. The remaining shares in the traditional motorcycle manufacturer were already previously owned by Art of Mobility. The latter also intends to acquire further MV Agusta companies from KTM.
Art of Mobility was advised by a team led by Taylor Wessing partners Ivo Deskovic (Dispute Resolution) and Philipp Zumbo (Dispute Resolution/Corporate), supported by counsel Andreas Howadt (Insolvency), partner Martin Eckel and counsel Verena Stagl (both Competition) as well as partner Allan Hahn (Corporate) and associates Marie Szabo (Dispute Resolution) and Sebastian Hofer (Competition). MV Agusta is being advised by its General Counsel Stefania Cane and the Italian law firm PedersoliGattai under the lead of partner Andrea Magliani, the seller by Verena Schneglberger-Grossmann (in-house) and Fritz Ecker (Oberhammer Rechtsanwälte).
“The undertaking proved to be extremely challenging, not least due to the extensive integration of the target companies in the insolvent KTM Group,” says Zumbo about the transaction.
Deskovic adds: “The implementation of the transaction is still subject to the approval of the Austrian and Italian authorities, the banks financing KTM, the creditors' committee and the insolvency court as well as the insolvency administrator of KTM, but should be completed in the first half of 2025.”
KTM had acquired a 25.1 percent stake in MV Agusta in November 2022. In spring 2024 the company had acquired a further 25 percent and thus the majority (50.1 percent) of the traditional Italian motorcycle manufacturer.
