The Berlin-based logistics freight forwarder sennder GmbH has taken over its competitor Everoad SAS, based in Paris, by way of a cross-border acquisition of shares. The strategic takeover by sennder leads to the merger of the two largest European digital freight forwarders and thus creates the conditions for the development of the largest and most comprehensive transport services platform in Europe. Through the takeover, sennder will grow to around 350 employees working at six European locations. Following the merger and further strategic acquisitions, sennder says it plans to generate annual sales of one billion Euros by 2024, according to the company.
Alongside the acquisition of Everoad, which was negotiated and executed almost entirely by video conference, or electronically due to the challenges of the COVID-19 pandemic, sennder expanded its Series C financing round and again raised several million Euros of growth capital. As part of the financing round, Everoad’s lead investors reinvested a large part of the purchase price for Everoad’s shares and re-invested in sennder by way of an exchange of shares.
A team from Taylor Wessing led by Dr. Christian Gahr advised sennder on all legal issues in connection with the acquisition of Everoad and the parallel financing round.
