Led by Munich-based Corporate/M&A partner Stephan Heinemann, Taylor Wessing advised the shareholders of the internationally operating Trivium eSolutions Group on the formation of a new European software engineering platform together with NetRom Software. The platform’s anchor investor is the globally active technology investor Investcorp Technology Partners (ITP).
Trivium eSolutions is a software consulting and development company specializing in Industry 4.0, smart infrastructure, industrial AI, and IoT, with operational units in Germany, the Netherlands, and India. The group supports large infrastructure and industrial clients in particular in developing scalable, secure, and robust software solutions—from architecture and design through agile development to deployment and operations.
With this transaction, Trivium eSolutions becomes part of a newly established growth platform for software engineering, with NetRom Software and Trivium eSolutions as founding members and supported by ITP, the technology investment arm of Investcorp. The platform’s goal is to bring together complementary software engineering companies, expand its service offering internationally, and drive joint investments in AI-powered software solutions.
“The transaction was legally and organizationally complex due to the need for a simultaneous transfer of entities in Germany, the Netherlands, and India, as well as a cross-border rollover structure. We are therefore even more pleased to have supported Trivium’s shareholders in this important next step in the Trivium Group’s growth. The partnership with NetRom and Investcorp creates a strong international platform in a highly dynamic market environment where software engineering, industrial AI, and AI-powered development are becoming increasingly business-critical,” says Stephan Heinemann, Corporate/M&A Partner at Taylor Wessing.
