Well after the implementation deadline of 10 January 2020, the Dutch Senate finally adopted the legislative proposal Implementatiewet registratie uiteindelijk belanghebbenden (Implementation Act Registration Ultimate Beneficial Owner) on 23 June last. The delay was caused by concerns regarding privacy of the UBOs recorded in the register and the subsequent preliminary inquiry by the Dutch Senate. With eleven parties in favour and only three against, it seems that these concerns have been alleviated.
The adopted legislative proposal amends the Commercial Register Act 2007, the Money Laundering and Terrorist Financing (Prevention) Act as well as some other Acts that relate to
Registration of ultimate beneficial owners of companies and other legal entities for the purpose of implementing the amended Fourth Anti-Money Laundering Directive (Fifth Anti-Money Laundering Directive).
While the introduction date of the legislative proposal has not yet been announced, the scope of the registration obligation has of course been made public.
Which entities are required to register their UBOs in the UBO Register?
Registration is mandatory for the following legal entities incorporated in the Netherlands:
- Unlisted private and public limited companies
- Foundations
- Associations with full legal capacity as well as associations with limited legal capacity operating a business
- Mutual insurance associations
- Cooperatives
- Professional, commercial and limited partnerships
- European public limited companies (SE)
- European cooperative companies (ECC)
- European economic interest groupings that have their registered office in the Netherlands (EEIG).
UBOs of trusts and similar legal constructs
The Implementatiewet registratie uiteindelijk belanghebbenden does not yet cover the registration of UBOs of trusts and similar legal constructs (such as mutual funds). According to the Fourth Anti-Money Laundering Directive their UBOs should also be recorded in a central register. Last spring consultations were held regarding the Implementatiewet registratie uiteindelijk belanghebbenden van trusts en soortgelijke juridische constructies (Implementation Act Registration Ultimate Beneficial Owners of Trusts and Similar Legal Constructs) providing for the registration of UBOs of trusts and similar legal constructs.
What UBO details should be registered and who can access this information?
In the UBO Register the following details of UBOs will be accessible to the public:
- Name
- Month and year of birth
- State of residence
- Nationality
- Nature and scope of the UBO’s interests in the entity concerned (in bandwidths from 25% to 50%, 50% to 75% and 75% to 100%).
In addition to these details the day of birth, place of birth and country of birth, the home address, citizen service number (CSN) and the UBO’s tax identification number should also be registered. However, these details are only accessible by the competent authorities and the Dutch Financial Intelligence Unit (FIU-NL)
Who will be able to access the UBO Register?
The UBO Register will be a public register. However, measures are in place to improve the privacy of UBOs recorded in the UBO register. E.g., anyone wishing to consult the register has to register online and payment of an amount of € 2.50 is required to access the Register.
Can a UBO request that his details are blocked?
The registration process in the UBO Register allows for the option to request a block of UBO information directly upon registration. However, a request to this effect will only be honoured in three situations:
- The UBO is a minor
- The UBO has been placed under guardianship
- The UBO is protected by local or national authorities.
All requests for a block will immediately result in a block of the UBO information. If it turns out, after the formal and objection and appeal procedure, that the request for a block was not justified, the information will be disclosed yet/once again.
The UBO’s most privacy-sensitive information, such as day of birth, place of birth and birth country, home address, citizen service number and tax identification number, are blocked by default and are only accessible by the competent authorities and the Dutch Financial Intelligence Unit (FIU-NL).
Who is my UBO?
The UBO concept offers two important clues, i.e. ‘property’ and ‘control’. On the basis of these two clues the minister stated in the Implementation Decree concerning the Uitvoeringsbesluit Wwft 2018 (Money Laundering and Terrorist Financing (Prevention) Act) which categories of individuals should be considered the UBOs of Dutch legal entities. The scope of the UBO concept is much wider than the limit of over 25% of the shareholding; actual control (without shareholding) can also imply that a natural person is considered the UBO.
If no one meets the ‘hard’ criteria listed in the Implementation Decree, (at least) one natural person who is part of senior management (board under the articles of association) should be designated and registered as Pseudo UBO. The UBO Register will in that case show that a pseudo UBO is registered rather than an UBO on the basis of property or control.

Wetsvoorstel aangenomen: het UBO-register komt er dan toch echt aan
Ruim na het verstrijken van de implementatietermijn op 10 januari 2020, heeft de Eerste Kamer op 23 juni het wetsvoorstel Implementatiewet registratie uiteindelijk belanghebbenden dan toch echt aangenomen. Zorgen over de privacy van de in het register geregistreerde uiteindelijk belanghebbenden (UBO’s) en een daaropvolgend voorbereidend onderzoek van de Eerste Kamer zorgden voor het oponthoud. Met elf vóór en slechts drie tegenstemmende fracties, lijken de zorgen inmiddels weggenomen.
Het aangenomen wetsvoorstel omvat een wijziging van de Handelsregisterwet 2007, de Wet ter voorkoming van witwassen en financieren van terrorisme en enkele andere wetten die verband houden met de registratie van uiteindelijk belanghebbenden van vennootschappen en andere juridische entiteiten ter implementatie van de gewijzigde Vierde Anti-witwasrichtlijn (Vijfde Anti-witwasrichtlijn).
Wanneer het wetsvoorstel daadwerkelijk in werking zal treden is nog niet bekendgemaakt, wat de registratieplicht inhoudt vanzelfsprekend wel.
Voor wie geldt de registratieplicht in het UBO-register?
De registratieplicht geldt voor de volgende in Nederland opgerichte rechtsvormen:
- niet-beursgenoteerde besloten en naamloze vennootschappen
- stichtingen
- verenigingen met volledige rechtsbevoegdheid en met beperkte rechtsbevoegdheid maar met onderneming
- onderlinge waarborgmaatschappijen
- coöperaties
- personenvennootschappen: maatschappen, vennootschappen onder firma en commanditaire vennootschappen
- rederijen
- Europese naamloze vennootschappen (SE)
- Europese coöperatieve vennootschappen (SCE)
- Europese economische samenwerkingsverbanden die volgens hun statuten hun zetel in Nederland hebben (EESV).
UBO’s trust en soortgelijke juridische constructies
Wat het wetsvoorstel Implementatiewet registratie uiteindelijk belanghebbenden nog niet omvat, is de registratie van uiteindelijk belanghebbenden van trusts en soortgelijke juridische constructies (zoals een fonds voor gemene rekening). Ook deze UBO’s zouden volgens de Vierde Anti-witwasrichtlijn geregistreerd moeten worden in een centraal register. De Implementatiewet registratie uiteindelijk belanghebbenden van trusts en soortgelijke juridische constructies, waarmee de registratie van UBO’s van trusts en soortgelijke juridische constructies bewerkstelligd zou moeten worden, is dit voorjaar geconsulteerd.
Welke informatie wordt er opgenomen in het UBO-register?
Middels het UBO-register worden de volgende gegevens van UBO’s openbaar toegankelijk:
- Naam
- Maand en jaar van geboorte
- Woonstaat
- Nationaliteit
- Aard en omvang van het belang van de UBO in de betreffende entiteit (in bandbreedtes van 25% tot 50%, 50% tot 75% en van 75% tot en met 100%.
Naast deze gegevens dienen ook de geboortedag, -plaats en -land, het woonadres, het Burgerservicenummer (BSN), en het fiscaal identificatienummer van de UBO’s te worden geregistreerd. Deze informatie is echter alleen toegankelijk voor de bevoegde autoriteiten en de Nederlandse Financial Intelligence Unit (FIU-NL).
Voor wie wordt het UBO-register toegankelijk?
Het UBO-register wordt een voor iedereen toegankelijk register. Er zijn echter wel maatregelen getroffen om de privacy van de in het UBO-register geregistreerde UBO’s te verbeteren. Zo dient de raadpleger van het register zich voorafgaand online te registeren, en is het register pas toegankelijk tegen betaling van een bedrag van €2,50.
Kan er een verzoek tot afscherming van gegevens gedaan worden?
Het registratieproces in het UBO-register wordt zo ingericht dat een verzoek tot afscherming van de UBO-informatie direct bij de registratie gedaan kan worden. Er bestaan echter maar drie situaties waarin een dergelijk verzoek kan worden gehonoreerd:
- De UBO is minderjarig
- De UBO is onder curatele gesteld
- De UBO wordt door het lokale dan wel het nationale bevoegde gezag beveiligd.
Alle verzoeken tot afscherming leiden direct tot afscherming van de UBO-informatie. Indien na de formele en bezwaar- en beroepsprocedure blijkt dat er onterecht een verzoek tot afscherming is gedaan wordt de informatie alsnog/opnieuw openbaar gemaakt.
De meest privacygevoelige gegevens zoals geboortedag, -plaats en -land, het woonadres, het Burgerservicenummer (BSN), en het fiscaal identificatienummer van de UBO zijn standaard afgeschermd en alleen toegankelijk voor de bevoegde autoriteiten en de Nederlandse Financial Intelligence Unit (FIU-NL).
Wie kwalificeert er als UBO?
Het UBO-begrip kent twee belangrijke aanknopingspunten, te weten ‘eigendom’ en ‘zeggenschap’. In het Uitvoeringsbesluit Wwft 2018 heeft de minister op basis van deze aanknopingspunten aangegeven welke categorieën personen moeten worden aangemerkt als UBO van Nederlandse juridische entiteiten. Het UBO-begrip reikt veel verder dan slechts de grens van meer dan 25% van het aandelenbelang of 25% stemrecht, ook feitelijke zeggenschap (zonder een aandelenbelang) kan ervoor zorgen dat een natuurlijk persoon kwalificeert als UBO.
Is er niemand die voldoet aan de ‘harde’ UBO-criteria uit het Uitvoeringsbesluit, dan dient (minimaal) één natuurlijk persoon die behoort tot het hoger leidinggevend personeel (vaak het statutair bestuur) aangewezen en ingeschreven te worden als Pseudo-UBO.
