We advised Cube Infrastructure Managers, a Luxembourgian management company focusing on investments in the European infrastructure space on its investment and acquisition of the majority share in a district heating portfolio operating the business in the field of production and supply of heat, treatment and sale of biomass as well as provision of energy maintenance and repair services.
This highly complex transaction involved acquisition of shares in various companies via a joint venture investment vehicle, set-up of shareholders’ rights and duties as well as implementation of management and corporate governance rules. We simultaneously advised on a multitude of other aspects, in particular related to restructuring of existing financing provided into the business, intellectual property rights as well as real estate transactions, such as acquisition and lease of operational sites.
The transaction was closed in November 2022 and completed in March 2023.
The parties agreed not to disclose the purchase price.
