Asmaa has advised clients on a range of high-value strategic M&A transactions, including buy-side and sell-side mandates, as well as energy-focused acquisitions and renewable energy development projects. Advised a multinational conglomerate on its strategic investment in Abu Dhabi's AI development holding company to enhance the UAE’s position as a global AI hub. The total deal’s value was USD 1.5 billion
Advised a US private-equity firm considered one of the world’s largest alternative investment managers, on its investment in a leading real estate development company in the UAE through an acquisition of a strategic equity stake. The total deal’s value was USD 1.4 billion and is considered to be one of the largest FDIs into Abu Dhabi’s private sector.
Advised a multinational oil and gas company on the acquisition of its onshore assets/interests in 15 onshore Concession Agreements, and 22 related Development Leases and Exploration Blocks in the Western Desert in Egypt, with a total deal value of USD 1 billion.
Advised an Egyptian leading real estate developer on their strategic joint ventures for the development of real estate projects in the UAE, with the total deals’ value of around AED 2 billion.
Acted for a global power industry leader, in a multiple-layered transaction structure financed by major financial institutions (including the IFC, CDC and AIIB), which involved the acquisition of the entire shares and economic interest of two solar projects operating in Benban, Aswan, under the Egyptian Feed In Tariff (FIT) Programme.
Acted for leading European banks and Export Credit Agencies in the USD 130 Million cross-border refinancing of the purchase of three Airbus 320neo aircraft ultimately operated by Egypt’s national carrier, as well as refinancing of the lease of 3 Rolls Royce Aircraft Engines. The transaction was the first of its kind in the Egyptian aviation market given its complex structure, as it involved the sale, leasing, subleasing of these aircraft across multiple layers of SPVs.
