Licence Terms

This page (together with the documents referred to on it) tells you ("you", the "Licensee") the terms on which you may access the Seed Investment Documents ("Documents") made available through our website www.taylorwessing.com/twtechfocus ("our site"). Please read these terms carefully before you download any of the Documents.

These terms will apply every time the Licensee uses and/or accesses the Documents regardless of the fact that you will have only accepted these terms once. By accessing, downloading, printing or using any of the Documents, you indicate that you accept these terms and that you agree to abide by them.

If you do not agree to these terms, please refrain from downloading any of the Documents.

Information about us

The Documents are provided by Taylor Wessing LLP ("we", "us" the "Licensor").

1. Who may Access the Documents
1.1 By entering into these terms, you confirm to us that you are an individual or employee of a business which is operating in an industry other than as a provider of legal services.
1.2 Subject to clause 2.2, any use of the Documents by any person, company or organisation providing legal or financial services and holding out these Documents as their own is strictly prohibited under these terms and, in accordance with clause 6, we reserve the right to terminate your permission to use the Documents under these terms and claim damages if we discover that you have breached this restriction.

 
2. Grant and scope of licence
2.1 The Licensor hereby grants to you a non-exclusive, non-transferable, royalty free licence to access, download, install, copy, print, use, alter and modify the whole or any part of the Documents on the terms of this licence (this "Licence").
2.2 We agree that nothing in these terms may restrict you from being able to take professional advice on the terms of these Documents.
 
3. Intellectual property rights
You acknowledge that all intellectual property rights in the Documents anywhere in the world belong to the Licensor, that rights in the Documents are licensed (not sold) to you, and that you have no rights in, or to, the Documents other than the right to use them in accordance with the terms of this Licence.

 
4. Reliance and no warranty
4.1 The Licensor provides the Documents using reasonable skill and care. Other than as set out in these terms, the Licensor does not make any specific warranties about the quality of the Documents, their reliability or availability.
4.2 You acknowledge that the Documents have been prepared without knowledge of the Licensee’s specific situation or requirements and therefore may not be appropriate to the Licensee’s circumstance. The Documents are for guidance only and are not intended to amount to legal advice on which reliance should be placed. It is essential that you obtain appropriate advice on your own circumstances. The Licensor therefore disclaims all liability and responsibility arising from any reliance placed on such Documents by you or by anyone who may be informed of their content.
4.3 The Documents have been made available on our site on the date recorded on the front of each Document and as such the content of the Documents may be out of date at any given time from that date. The Licensor is under no obligation to update the Documents.

 
5. Licensor's liability
5.1 The Documents are provided without any guarantees, conditions or warranties as to their accuracy. To the extent permitted by law we hereby expressly exclude:

(a) all conditions, warranties and other terms which might otherwise be implied by statute, common law or the law of equity; and
(b) any liability for any direct, indirect or consequential loss or damage incurred by any user in connection with the Documents or their use, including, without limitation, any liability for:
(i) loss of income or revenue;
(ii) loss of business profits or contracts; and
(iii) loss of opportunity, goodwill or reputation;
for any other loss or damage of any kind, howsoever arising and whether caused by tort (including negligence), breach of contract or otherwise.
5.2 Clause 5.1 does not affect our liability for death or personal injury arising from our negligence, nor our liability for fraud or fraudulent misrepresentation nor any other liability which cannot be excluded or limited under applicable law.
 
6. Termination
6.1 The Licensor may terminate this Licence immediately by written notice to you if you commit a material or persistent breach of this Licence.
6.2 Upon termination for any reason:

(a) all rights granted to you under this Licence shall cease;
(b) you must cease all activities authorised by this Licence;
(c) you must immediately delete or remove the Documents from all computer equipment in your possession, and immediately destroy or return to the Licensor (at the Licensor's option) all copies of the Documents and Documentation then in your possession, custody or control and, in the case of destruction, certify to the Licensor that you have done so.
 
7. Information about you and your access to the Documents
We process information about you in accordance with our privacy policy. By accessing the Documents, you consent to such processing and you warrant that all data provided by you is accurate.

 
8. Linking to our site or the Documents
You may not, without our permission, link to our site or Documents.
 
9. Variations
We may revise these terms at any time by amending this page. You are expected to check this page from time to time to take notice of any changes we have made, as they are binding on you. Some of the provisions contained in these terms may also be superseded by provisions or notices published elsewhere on our site.
 
10. Law and jurisdiction
This Licence, its subject matter or its formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with English law and submitted to the non-exclusive jurisdiction of the English courts.
