Can your Board authorise directors' conflicts of interests? 

As you will probably be aware, there are new rules introduced by the Companies Act 2006 dealing with conflicts of interests of directors.  The Board may in fact have already received a declaration of interest from your directors in response to this new legislation.  The new rules allow the Board to authorise conflicts of interests of directors provided a shareholder resolution has been passed to allow the Board to make such authorisations.
