A central part of our corporate practice relates to the reorganisation of corporate entities and groups of companies.
Particular structures may be put in place for a variety of (sometimes related) reasons, including share ownership issues, tax and income recognition. We offer comprehensive advice on the design and efficient implementation of effective structures from both a taxation and corporate point of view, and our range of expertise includes the reorganisation of companies (or, in Germany, their transformation) and the restructuring of entire groups.
Complex restructurings often involve a series of inter-related steps which must be carried out in a certain order, and in these cases we will create and implement an agreed step-plan detailing all necessary actions and the associated legal documentation.
Restructuring is sometimes carried out in relation to financially troubled companies and groups of companies. The restructuring may occur as part of a formal insolvency procedure or in order to avoid such a procedure. In all such cases, our Reconstruction & Corporate Recovery group has broad experience of acting for both companies and insolvency practitioners in respect of such transactions.
