The Commercial Group advises clients on all aspects of their chosen method of selling goods and providing services, be it by way of a marketing agent, a sales agent, a distributor or a franchisee. The Group is also well versed in advising agents and distributors.
We assist our clients in structuring and drafting the agency and distribution agreements, ensuring that the agreements not only reflect the bespoke commercial arrangement but also clearly specify the commission and payment arrangements, the rights and obligations of the parties and the ability to terminate and consequences of termination.
EU Regulation continues to grow in this area, both in the field of competition and anti-trust law as well as through the introduction of the Commercial Agents Regulations. The members of the Commercial Group include both corporate and EU lawyers who have in depth experience of providing practical advice to businesses on the best way of structuring their operations to reflect a client’s bespoke commercial requirements against the background of increasing regulation.
