Taylor Wessing advises iimia on £18.6m acquisition of MitonOptimal Group Limited
Taylor Wessing's Financial Institutions and Markets Group has acted for iimia Investment Group Plc on the acquisition of the entire issued share capital of MitonOptimal Group Limited.
iimia Investment Group Plc, an AIM listed company encompassing Fund Management, Wealth Management and Corporate Finance, completed the £18.6m acquisition of MitonOptimal's share capital yesterday. MitonOptimal is a fund manager based in England, Guernsey and South Africa, with funds under management of £360 million. The acquisition will increase the iimia Group's funds under management and advice to £1.2 billion. The total consideration was satisfied by the issue of 6,622,851 new ordinary shares in iimia and £1,952,723 in cash.
The Taylor Wessing team was led by corporate partner Peter Kempe, and included Jayne Schnider, Kathryn Tarbutt, Glenda O'Hara and Frances Bentley (all corporate), Hugh Merritt (financial services), Leigh Lisk (tax), Shirley Tang and Kerry Rowson (company secretarial), Rowena Kay, Nicola Goodey and Rachel Farr (employment), Louise Thompson (property), Emma Tracey (pensions) and Russell Houghton (IT).
Mark Helyar and Kate James of Bedell Cristin advised on the Guernsey law aspects and Tim Mills at Cliffe Dekker, Inc. advised on South African issues.
Macfarlanes acted for the sellers in the UK and Carey Olsen acted for the sellers in Guernsey.
