Taylor Wessing advise iimia MitonOptimal Plc on £100m acquisition of Midas Capital Partners Limited
Taylor Wessing is advising iimia MitonOptimal Plc ("IMO"), the AIM-traded company encompassing fund management, wealth management and corporate finance, on its acquisition of fast-growing fund management company, Midas Capital Partners Limited ("Midas").
IMO, formerly iimia, will acquire the entire issued share capital of Midas in exchange for the issue of new ordinary shares, representing approximately 48% of the enlarged share capital. The acquisition will also involve a cash consideration, funded through a combination of a placing with institutional and other investors, new loan facilities and existing cash resources.
The acquisition values Midas at just over £100 million and will create a pre-eminent player in the multi-asset fund manager market. The transaction is conditional on IMO shareholder approval.
The Taylor Wessing team advising IMO includes Financial Institutions and Markets group partners Peter Kempe and Tim Oldridge, who advised on the purchase, AIM re-admission, circular and placing, and Finance group partner Martin Yells, who advised on IMO’s new banking facilities.
