Taylor Wessing acts for Appleton Papers Inc. on the sale of BemroseBooth

18-Aug-2008  |  Corporate, Inward Investment

Taylor Wessing LLP has acted for Appleton Papers Inc. on the sale of Bemrose Group Limited, the holding company of secure and specialised printing services company BemroseBooth Limited, for an undisclosed consideration.

BemroseBooth employs nearly 600 people at operations in Derby, Hull and Teesside. The buyer is an acquisition affiliate of American Industrial Acquisition Corporation, a U.S.‑based private equity firm.

Taylor Wessing had previously acted for Appleton on the £34 million acquisition of BemroseBooth in December 2003.  However, Appleton announced in January 2008 that it intends to focus on its core businesses and that it would explore the sale of BemroseBooth, because it no longer complemented Appleton’s long-term strategic direction.

Tom Ferree, CFO of Appleton, commented:

"The entire Taylor Wessing team that assisted us in divesting the BemroseBooth business did a great job in what was a very difficult and complicated deal.  I will certainly use the Taylor Wessing team again if the opportunity presents itself."

Taylor Wessing Corporate partner Daniel Rosenberg commented:

"We are very pleased to have worked with Appleton on this important sale, which involved a full auction process and brought together resources from across the firm in order to ensure a successful outcome."

The Taylor Wessing team advising on the sale was led by corporate partner Daniel Rosenberg and included Declan Bradley and Natasha Kirk (corporate), Gemma Parker (employment), Mark Smith (pensions), Rabel Akhund (banking) and Lucie Thomas (property).

Hugh James (Rob Morgan) acted for the AIAC affiliate.
