Taylor Wessing advises Rutland Partners on acquisition of Brandon Hire

Taylor Wessing LLP has acted for long standing private equity client, Rutland Partners LLP, on its acquisition of leading tool and equipment hire business, Brandon Hire Plc. Unconditional contracts were exchanged on 21 August with the seller Wolseley Plc with completion anticipated to be in September. The consideration is £43mn payable in cash on completion subject to normal closing adjustments.

The separation of Brandon from Wolseley involved a number of complex arrangements including the transfer of certain employees to Brandon and also the transfer of interests in a significant property portfolio.

The Taylor Wessing team advising Rutland was led by private equity partners Nick Hazell and Russell Van Praagh with assistance from Jon Blackburn, Carlos Gil Rivas and Tim Davidson. Vikki Wiberg advised on the employment aspects whilst the property advice was led by partner Mark Bennett with assistance from Emma Oakley and Miri Stickland. Tax advice was provided by Rob Young, assisted by James Stewart.
