Taylor Wessing advises on the sale of Cramer and its subsidiaries to the Amdocs Group for $425 million
Taylor Wessing advised the shareholders of Cramer Systems Group Limited ("Cramer") on the sale of Cramer and its subsidiaries to the Amdocs Group for $425 million in cash.
Cramer is one of the leading providers of Operational Support Software (OSS) to the telecoms market with over 300 employees and offices around the world. Amdocs is the leading provider of software and services to enable integrated customer management within the telecoms industry. A global company with revenue of more than $2 billion in fiscal year 2005, Amdocs has over 14,000 employees and serves customers in more than 50 countries.
Corporate partner, Robert Fenner led the Taylor Wessing team that included partner Howard Palmer and associates Fade Solanke Mitterer, Ed Jackson and Gaynor Dyton (all corporate), Ann Casey (tax) and David Allen Green (IP).
David Embleton, Chairman of Cramer and one of the founders of the business, said,
"Robert Fenner has provided superb help and guidance, right from the creation of Cramer, through to its trade sale to Amdocs; for the founders it was literally "cradle to grave" support. For the ten-year period, from the initial drafting of Memorandum and Articles of Association, through to the diligent attention to detail during the final stages of a $425 million transaction, Robert and his team were magnificent."
Robert Fenner commented,
"Having acted for Cramer since it was founded ten years ago, we are delighted to have been able to help the shareholders of Cramer realise substantial value from the sale of the business. This was a highly complex transaction completed in a short timescale and involved close and effective teamwork between Cramer and its advisors."
