William is a senior associate in the Technology team in London, and advises on all aspects of information technology and new media law, including:
- software licensing and development
- mobile applications development, distribution and licensing
- technology procurement projects including ERP and CRM platforms
- technology and business process outsourcings (for both customers and suppliers)
- web and application hosting and managed services
- hardware supply and systems integration, support and maintenance
- technology distribution/reseller/OEM models.
William has particular expertise in relation to website launches and reviews, advising on online terms of use, linking licences, privacy policies, forum terms and, where the website is transactional, the ecommerce and distance selling implications of trading online.
Recent projects include:
- drafting and negotiating the contract for the procurement of, and migration to, a new ERP platform for an established UK retailer and its satellite operations in Ireland and Russia;
- advising on technology outsourcings, on the customer-side for a well-known UK insurer outsourcing its entire IT infrastructure and, on the supplier side, from a UK mobile phone company outsourcing its UK IT operations to a leading offshore outsourcing provider in India;
- advising a leading-edge independent sector healthcare company in relation to a major systems development project for a new patient records management system across all its UK hospitals, including associated software licensing, support and training services;
- drafting and negotiating an ECM system development, hosting and services agreement in support of TW’s “New Street Solutions”, offering electronic data rooms, contract due diligence and active contract management and reporting services to clients;
- assisting a well-known UK photographic services provider in relation to white-labelled e-commerce sites and related fulfilment arrangements with a number of high-street brand owners;
- assisting a business continuity service provider in relation to agreements for managed data hall services with a number of its major blue-chip customers;
- drafting documentation for a German-based payment card services provider in relation to the e-commerce aspects of the introduction of a cashless payment card system to football stadia in the UK;
- drafting the customer-facing and reseller agreements for a US provider of virtual community software-as-a-service and negotiating contracts with a number of its European corporate customers;
- negotiating the sub-contract for a provider of print and fulfilment services in support of a head contract to supply such services across the Royal Mail group;
- producing a web accessibility policy for a top-5 international accountancy firm;
- drafting and updating website terms for a series of clients requiring either new or re-vamped transactional websites (including website terms of use, privacy policies, online trading terms and web forum terms);
- conducting website reviews for a number of clients, in particular from the data privacy, consumer law and web accessibility angles;
- drafting mobile application development agreements for a series of clients, including addressing the flowing-down of requirements from third party platform providers, and drafting user-facing terms of use; and
- providing corporate support on a number of M&A transactions including due diligence and negotiating share/asset purchase agreement warranties and disclosure letters.
William previously worked in-house for six years at a global investment bank advising on all aspects of the bank’s technology procurement activities in EMEA, including strategic and IT infrastructure outsourcings.
