Ross is a Partner in Taylor Wessing’s Finance group. Ross acts for major banks, financial institutions, borrowers and sponsors across a broad range of finance work, including acquisition and leveraged finance, real estate finance, investment funds finance, energy finance (oil and gas) and derivatives. Ross’ previous experience includes:
- Acted for a major UK bank in connection with the provision of debt facilities to a real estate fund established by a major UK fund manager to finance the acquisition of an industrial property portfolio and to fund the future acquisition of industrial properties that satisfy the bank’s lending criteria.
- Acted for Investec in its capacities as senior lender, mezzanine agent and arranger, mezzanine lender, hedge counterparty and holder of a 2.5% warrant in connection with the leveraged buy-in management buy-out of the Snow + Rock Group by LGV Capital.
- Acted for a major UK bank in connection with the provision of warehouse, equity bridge and coinvestment facilities totaling €940mn to the various entities comprised in an investment fund structure established by a major European private equity house.
- Acted for RBS as Agent and MLA in respect of the provision of reserves based lending facilities by a syndicate of lenders to the UK subsidiary of a Canadian energy company listed on the Toronto Stock Exchange in order to finance the development of offshore gas fields in the UKCS.
- Acted for Investec in connection with the provision of debt facilities to Greenwich Loan Income Fund Limited (listed on the Channel Islands Stock Exchange) to finance the acquisition of Asset Management Investment Company plc (listed on the London Stock Exchange) by way of a Scheme of Arrangement under Part 26 of the Companies Act 2006.
- Acted for a syndicate of banks in connection with the preparation and negotiation of an intercreditor deed regulating the priorities and the relationship between the syndicate banks under £425mn debt facilities provided to a drinks group and the noteholders under a £125mn US private placement of notes issued by the drinks group.
Ross is qualified under both English law and Scots law. He is recommended as a leading expert in his field in the Chambers and Legal 500 legal directories.
