Ben Constance is a senior associate in the Corporate and Commercial group of our Middle Eastern practice, with a particular skill focus on capital raisings (both public offerings and private equity), mergers and acquisitions and equity capital markets. He has practised in both the United Arab Emirates for a number of years as well as Australia for six years, where he worked primarily in the corporate and commercial area of large national law firms.
Ben has represented clients on transactional matters from Australia, Singapore, Malaysia, United States, Canada, United Arab Emirates and the United Kingdom. He has also provided specific advices to ASX, Dubai Financial Market, Abu Dhabi Securities Exchange and NASDAQ Dubai listed companies on corporate regulation and listing rules compliance.
Some recent transaction highlights include:
- Advising Abu Dhabi based Agility Logistics on the sale of interests by various shareholders to Mubadala (US$450M);
- Lead role advising Military Super on its investment into Turner Funds Trust (Australia) (US$80M);
- Lead role acting for Australian entity Ignite Energy Resources on its reverse takeover of Karmin Exploration Inc on the TSX Venture Exchange (CDN$400M);
- Advising various energy and resource companies on their initial public offerings and ASX listings;
- Advising Amlak Property Services LLC and National Bonds Corporation on the acquisition of a majority shareholding in Landmark Properties LLC Dubai;
- Advising on the divestment by National Bonds Corporation of Lagoons Village to Deyaar Development in Dubai (US$100M).
As part of the Profile Business Seminar on commercial law issues in the United Arab Emirates, Ben recently gave an address on current regulatory issues and has previously presented at Voss Seminar events in Australia. Ben also contributes to various articles on topical corporate law issues, including to the International Law Office.
